An Act to amend and reenact § 13.1-286 of the Code of Virginia, relating
to amendments to articles of incorporation of nonstock corporations.

Be it enacted by the General Assembly of Virginia:
1. That § 13.1-236 of the Code of Virginia be amended and reenacted
as follows:
§ 13.1-236. Amendments to the articles of incorporation shall be
made in the following manner:
(a) Where there are members having voting rights, the board of
directors shall adopt a resolution setting forth the proposed amendment,
finding that it is in the best interests of the corporation and directing that
it be submitted to a vote at a meeting of members having voting rights,
which may be either an annual or a special meeting. Notice shall be given
to each member entitled to vote at such meeting within the time and in
the manner provided in this act for the giving of notice of such meetings
of members. The proposed amendment shall be adopted upon receiving
more than two-thirds of the votes entitled to be cast by members present
or represented by proxy at such meeting.
(b) Where there are no members, or no members having voting
rights, an amendment shall be adopted at a meeting of the board of direc-
pe upon receiving the vote of * at least two-thirds of the directors in
Office.
Any number of amendments may be submitted and voted upon at
any one meeting.
