An Act to amend and reenact § 12-57.1, relating to registered agents of
corporations.

Be it enacted by the General Assembly of Virginia:
ae That § 12-57.1 of the Code of Virginia be amended and reenacted as
follows:
§ 12-57.1. Tax assessments, report forms and correspondence di-
rected to a corporation and mailed by the Commission by first class mail
addressed to the registered agent of the corporation at its registered office
shall be deemed to have been delivered to the corporation.
The registered agent of a corporation who notifies it and the Com-
mission in writing that he resigns effective as of a specified date shall not
be liable to the corporation for damages resulting from his failure to
forward process or other papers after said date. In the absence of ac-
ceptance in writing by the corporation, the effective date of such resigna-
tion shall not be less than thirty days from the date of the mailing by first
class registered or certified mail, or delivery in person, of such notice to
the president, vice-president or secretary of the corporation and to the
Commission. The names and addresses of such officers on record with
the Commission shall be conclusive for the purposes of this section.
