AN ACT to make it unlawful for any person, firm or association to do
business, or offer or advertise to transact business in Virginia as a
corporation when not a Virginia corporation and not a foreign cor-
poration authorized to do business in this State. S 146]

Be it enacted by the General Assembly of Virginia:

1. § 1. It shall be unlawful for any person, firm or association to trans-

act business in this State as a corporation or to offer or advertise to trans-

act business in this State as a corporation unless the alleged corporation
is either a Virginia corporation or a foreign corporation authorized to
transact business in Virginia. Any person who, individually or as a mem-

a of a firm or association, violates this section shall be guilty of a mis-

emeanor.
