CHAPTER 418

An Act to amend and reenact § 18.1-282 of the Code of Virginia, relating
to annual reports of domestic and foreign nonstock corporations.
Be it enacted by the General Assembly of Virginia:

1. That § 13.1-282 of the Code of Virginia be amended and reenacted
as follows: ;

§ 13.1-282. Each domestic corporation, and each foreign corporation
authorized to conduct affairs in this State, shall file, within the time pre-
scribed by this Act, an annual report setting forth:

(a) The name of the corporation and the state or country under the
laws of which it is incorporated. ; .

(b) The address of the registered office of the corporation in this
State, (including both (i) the post office address with street and number,
if any, and (ii) the name of the county or city in which it is located), and
the name of its registered agent in this State at such address, and, in the
case of a foreign corporation, the address of its principal office in the state
or country under the laws of which it is incorporated.

(c) The names and addresses of the directors and principal officers
of the corporation.

The report shall be made on forms furnished by the Commission, shall
supply the information as of the date of the report and shall be verified
by the oath of the president or a vice president or the secretary or an
assistant secretary of the corporation.

If complaint has been made to the Commission that any such corpora-
tion has been engaged in the unauthorized practice of law, the Commission
may require such corporation to furnish the names and addresses of all
members of the corporation who are residents of this State, grouped as
to types of membership. Both voting and nonvoting members shall be
reported. If the Commission requires information under this paragraph,
such corporation shall supply the information forthwith as of the date of
the report and the same shall be verified by the oath of the president or a
vice president or the secretary or an assistant secretary of the corporation.
