Chap. 283.—An ACT to amend and re-enact Sections 1 and 3, as amended, of an
act entitled “An Act to incorporate the Medical College of Virginia.”, passed
February 25, 1854, as it has been from time to time amended, particularly by
Chapter 508, Acts 1916, approved March 23, 1916, Sections 1 and 3 relating
to the Board of Visitors of the Medical College of Virginia, in order to make
certain changes relative to the Board of Visitors. [H 152]

Be it enacted by the General Assembly of Virginia:
1. That sections one and three, as amended, of an act entitled “An
Act to incorporate the Medical College of Virginia.”, passed February
twenty-five, eighteen hundred fifty-four, as it has been from time to
time amended, particularly by chapter five hundred eight, Acts nine-
teen hundred sixteen, approved March twenty-three, nineteen hundred
sixteen, sections one and three relating to the Board of Visitors of the
Medical College of Virginia, be amended and re-enacted, as follows:
Section 1. (a) The Medical College of Virginia shall be continued,
and the visitors thereof and their successors shall be and remain a cor-
poration under the name and style of the “Medical College of Virginia”.
The Board of Visitors shall consist ultimately of ten members, appointed
by the Governor, from the State at large, and the Superintendent of
Public Instruction ex-officio.
(b) The visitors in office when this amendment takes effect are
continued until the termination of their respective offices.
(c) After the effective date of this amendment terminations of
office of life tenure members shall be filled by appointment for terms of
five years from the date of the termination of the particular office being
filled until nine members have been or might so be appointed for such
limited terms; successors to these visitors shall be appointed for terms of
five years from date of expiration of the terms of their respective pred-
ecessors.
(d) Upon the termination of the office of the tenth life tenure mem-
ber the vacancy can be filled only for the period between the date of
termination of office and January one of the following year.
(e) On December thirty-one following the termination of the of-
fice of the tenth life tenure member, the terms of office as to the ten
members of the Board who have been or might have been appointed for
limited terms shall terminate and their successors shall be appointed as
follows: two for terms to expire five years; two for terms to expire four
years; two for terms to expire three years; two for terms to expire two
years and two for terms to expire one year, from the date of the auto-
matic termination of the terms of their predecessors, to-wit, December
thirty-one of the year in which the tenth vacancy as aforesaid occurred.
(f) Thereafter, within sixty days preceding the day on which the
terms of office respectively of these visitors will expire by limitation, the
Governor shall appoint, to fill the vacancies so occasioned, qualified per-
sons whose terms shall be for five years from the day on which the
terms of their immediate predecessors expired.
(g) When the offices of the remaining nine life tenure members
terminate the offices shall not be filled.
(h) All vacancies, whether occasioned by failure to make an ap-
pointment within the sixty days preceding any regular expiration as re-
quired, or otherwise, are to be filled by the Governor for the unexpired
term.
(1) All appointments are subject to confirmation by the Senate at its
next session. Visitors shall continue to discharge their duties after
their terms have expired until their successors have been appointed and
have qualified.
(j) The Governor may appoint visitors from a list of qualified per-
sons submitted to him, before or after induction into office, by the alumni
association of the institution, on or before the first day of October of
any year in which the terms of any visitors will expire.
(k) Whenever a vacancy occurs, otherwise than by expiration ot
term, the Governor shall certify this fact to the association and nomina-
tions may be submitted of qualified persons and the Governor may fill
the vacancy, if his discretion so dictates, from among the eligible nominees
of the association, whether or not alumni or alumnae.
(1) Every list shall contain at least three names for each vacancy
to be filled.
(m) The Governor is not to be limited in his appointments to the
persons so nominated.
(n) No person shall be eligible to serve for or during more than
two successive terms, and incumbency during the current term when
this amendment takes effect constitutes the first of the two successive
terms with respect to eligibility for appointment except that members
who shall have served for less than four years on January one, nineteen
hundred forty-five, shall be eligible for reappointment for such periods
as shall make a total continuous service of ten years.
(o) The corporation is formed for the purpose of establishing and
maintaining a medical college and such other institutions connected there-
with, to teach medicine, dentistry, pharmacy and all the arts and sciences
and branches of learning relating to or connected with any of these sub-
jects, and in connection therewith it is empowered to maintain and con-
duct hospitals, infirmaries and dispensaries and such other necessary
kindred institutions as, in the opinion of the Board, are proper for its
successful operation.
(p) The corporation is vested with all the rights, powers and privi-
leges conferred upon, and subject to all the provisions relating to, similar
corporations under the existing laws of this State so far as they are ap-
plicable.
Section 3. (a) The principal office of the corporation shall be
located, and all the meetings of the Board of Visitors held, as far as
practicable, in the City of Richmond, Virginia. The Board shall hx
the date for the annual meetings, and may hold such special meetings as
in the opinion of the chairman or the executive committee are deemed
necessarv. Due notice of all meetings shall be given in writing to every
visitor. The members of the Board shall receive no compensation for
their services, but those not residing in Richmond shall be paid their
necessary expenses for attending the meetings of the Board. A majority
of the members shall constitute a quorum.
(b) The Board shall elect a chairman and vice-chairman, a secre-
tary and a treasurer, both of which offices may be held by the same
person; and a president of the corporation if they deem one necessary.
prescribe his duties and fix his compensation, and he shall hold his of-
fice during the pleasure of the Board. They shall also appoint an execu-
tive committee, of not less than three nor more than six, to perform all
such duties as required of them by the Board and as could be performed
by the Board during the interim between its meetings. The executive
comunittee shall report annually or oftener to the Board, for its approval
or disapproval, the acts performed by it from time to time.
(c) The Board shall appoint a faculty composed of as many pro-
fessors, associate or adjunct professors and teachers as are necessary
for the college, all of whom shall hold their offices during the pleasure
ot the Board, and they shall fix the compensation, if any, of each and all
of these as they see fit.
