Chap. 555.—An ACT to amend and re-enact section 55 of chapter V of an act
concerning corporations which became a law May 21, 1903, as amended and
re-enacted by an act approved March 12, 1908, and as further amended and
re-enacted by an act approved March 23, 1916, and as further amended by
an act approved March 15, 1918, being identical with and known as section
3835 of the Code of 1919. [S B 222]

1. Beit enacted by the general assembly of Virginia, That section
fifty-five of chapter five of an act concerning corporations which be-
came a law May twenty-first, nineteen hundred and three, as amended
and re-enacted by an act approved March twelfth, nineteen hundred
and eight, and as further amended by an act approved March twenty-
third, nineteen hundred and sixteen, and as further amended by an
act approved March fifteenth, nineteen hundred and eighteen, being
identical with and known as section thirty-eight hundred and thirty-
five of the Code of Virginia, nineteen hundred and nineteen, be amend-
ed and re-enacted so as to read as follows:
Section 3835. No charter shall be issued, nor any amendment to
any charter be made, nor any certificate of consolidation or merger
issued, nor any order of dissolution of any corporation be made, nor
any certificate of such dissolution be issued, under the existing or
under the future laws of this State, until all franchise taxes, registra-
tion fees, other taxes, fees and dues, assessed by the State corporation
commission, authorized as prescribed by the eixsting statutes of the
State, or such as may be hereafter imposed by the State, shall have
been paid. Provided, however, that no corporation which complies
with the provisions of law as to dissolution and files the consent to
dissolution in the office of the State corporation commission prior to
the fifteenth day of February in any year shall be required to pay the
registration fee and franchise tax for that year; nor shall any foreign
corporation which surrenders its certificate of authority to do business
in this State prior to the fifteenth day of February in any year be re-
quired to pay the registration fee for that year; and, provided, further,
it shall be the.duty of the State corporation commission to enter an
order withdrawing and cancelling the assessments above specified re-
maiming unpaid after such dissolution of a domestic corporation or
withdrawal of a foreign corporation.
