Chap. 246.—An ACT to amend and re-enact section 55 of chapter V of an
act concerning corporations, which became a law May 21, 1903; as
amended and re-enacted by an act approved March 12, 1908, and as fur-
ther amended and re-enacted by an act approved March 23, 1916, be
amended and re-enacted so as to read as follows: {S B 318]

Section 55. Be it enacted by the general assembly of Virginia:
No charter shall be issued under this act, nor any amendment
to any charter be made hereunder, nor any order of dissolution
of any corporation made. nor any certificate of such dissolution
be issued, until all franchise taxes, registration fees, other taxes,
fees and dues, assessed by the State corporation commission, auth-
orized as prescribed by the existing statutes of the State, or such
as may be hereafter imposed by the State. shall have been paid.
Provided, however, that no corporation which complies with the
provisions of law as to dissolution and files the consent to disso-
lution in the office of the State corporation commission prior to
the first day of February in any year shall be required to pay the
registration fee and franchise tax for that year; nor shall any
foreign corporation which surrenders its certificate of authority
to do business in this State prior to the first day of February in
any year be required to pav the registration fee for that year;
and provided, further, it shall be the duty of the State corporation
commission to enter an order withdrawing and cancelling the assess-
ments above specified remaining unpaid after such dissolution of a
domestic corporation or withdrawal of_a foreign corporation.
