Chap. 299.—An ACT to incorporate the West Point, Urbana and Yorktown
railway and development company.
Approved February 16, 1901.
1. Be it enacted by the general assembly of Virginia, That Thomas
B. Henley, Lyon G. Tyler, W. W. Woodward, and John C. Robinson, and
their assigns, and such other persons as may be associated with them and
their assigns be, and they are, hereby constituted a body, politie and cor-
porate, by the name and style of the West Point, Urbana and Yorktown
railway and development company.
2. The capital stock of the company shall be not less than one hun-
dred thousand dollars nor more than three hundred thousand dollars, to
be divided into shares of the par value of one hundred dollars cach.
3. The said company shall have the power and authority to purchase
or lease and to hold two thousand acres of land in James City, New
Kent, King William, IKing and Queen, Middlesex and Gloucester coun-
ties, to develop, improve, sel], lease and cultivate said land. And shall
also have the power and authority to locate, construct, maintain, equip
and operate a railroad from Urbana, in the county of Middlesex, through
the counties of Gloucester, Middlesex and King and Queen to some point
on the Mattaponi or York rivers, in the county of King and Queen,
and from Plum Point, in New Kent county, through New Kent and
James City counties, to Toano, in James City county, Virginia, by such
route or routes as the said company may adopt. And shall also have the
power and authority to construct a branch or lateral railroad from any
point on its route in the counties of Middlesex, King and Queen or
Gloucester to some point on the York river, in Gloucester county, at or
near Gloucester Point, and from Yorktown, in York county, to some point
on the Chesapeake and Ohio railroad, in York, Warwick or James City
counties. The said company inay, with the consent of the board of
supervisors of either county through which the road passes, use the road
of the said county upon making compensation to the said county and
the ha land-owners along said route in the manner now prescribed
by law. Every magisterial district in any county through which said
railroad may pass; ‘also, every county, city or town may vote upon anil
subscribe to the capital stock of the said road in the manner and upon
the terms prescribed in chapter fifty-one of the code of Virginia. And
the said company shall also have the power and authority to purchase.
lease, own, operate and maintain steamboats for the purpose of operating
a steam ferry and the carrying of passengers, freight, goods and property
from Plum Point, in New Kent county, across the Pamunkey river to
West Point, in the county of King William, and across the York river
and the Mattaponi river to some point in King and Queen county: and
alxo for the purpose of operating a steam ferry from Gloucester Point, in
Gloucester county, across the York river to Yorktown, in York county.
4. The said company shall have the power and authority to transport
passengers, baggage, freight and mails of the United States, and to
charge and collect fares and tolls for the same; and it may use horses.
mules, steam or electricity, or any or all of said means to propel its cars.
5. The said company shall have the power and authority to commence
the construction of its road at any point on its route which it may de-
termine upon, and it may use and operate the same from the time it shall
have commenced. It shall have the power and authority to cross any
other railroad now or hereafter constructed, upon the terms and in the
manner prescribed by the general law for one work of internal improve-
ment crossing another: and it may unite or connect with any railroad.

6. The said company shall have the power and authority to acquire.
by purchase or lease, so much land as they may desire, not to exceed two
thousand acres, to be used for other purposes than railroad purposes ;
and to also have the power and authority to acquire by purchase, lease
ce condemnation, according to law, and to hold and improve all lands
which it may deem necessary for rights of way for its road, and for sta-
tion, depot, power houses and terminal facilities, and also for any other
purposes than those above-mentioned which it may deem necessary and
proper and advantageous to the welfare of its road: provided, that in no
case shall it own more than five hundred acres of land for railroad pur-
poses.
%. The said company shall have the power and authority to lease the
said road, or any part thereof: to borrow money for the use of the cor-
poration, and to issue its honds or notes for the same, and to secure the
payment thereof by deeds of trust or mortgages on any or all of its prop-
erty or franchises.
8. The said incorporators, or any three of them, may, at any time and
place which they may deem proper, and with or without a previous adver-
tisement thereof, receive subscriptions to the capital stock of the said
company. Subscriptions to said capital stock may he paid in cash, real
or personal property, services, leases, options or rights of way, at such
valuation as may he determined upon by the incorporators and the sub-
seriher, if the subscription is made previous to the organization of the
company and election of officers. But if the subscription is made to the
stock after the organization of the company and the election of oflicers,
then the value of the said real estate or personal property, services,
leases, options or rights of way shall be fixed by the board of directors
and the subseriber. When the minimum amount of the capital stock
shall have been subseribed the subscribers and incorporators shall meet,
at any time and place convenient to themselves, and clect such ollivers
ax may be necessary, in their opinion, for the conduct of the business of
the company, and thereupon shall have and exercise all the powers and
functions of the corporation under charter and laws of this common-
wealth.
9. The said company shall commence the construction of its road
within two years, and complete the same within five vears from the pas-
sage of this act.
10. All taxes due by the said company shall be paid in lawful money
of the United States, and not in coupons.
11. This act shall be in force from its passage.
