Chap. 884.—An ACT to incorporate the Newport News military academy.
Approved March 6, 1900.
1. Be it enacted by the general assembly of Virginia, That E. W.
Huffman, L. P. Stearnes, R. G. Bickford, D. S. Jones, Doctor Joseph
Charles, W. C. Stuart, and G. B. West, and such other persons as mav
hereafter be associated with them, be, and they are hereby, created and
incorporated and made a body politic and corporate, under the name
and stvle of Newport News military academy, for the purpose of keep-
ing and conducting a boarding and day school of the above name, to be
located in the city of Newport News, Virginia, or in the county of War-
wick, Virginia, or in the county of Elizabeth City, Virginia, near said city —
of Newport News, with the right to change location in said counties or |
city, for the purpose of teaching and giving instruction to such boys and |
young men, and girls and young women, as may be committed to their —
care as pupils of said school in the various studies and courses of in-
struction in modern languages, English and I*rench, and in ancient lan- —
guages, mathematics, music and fine arts, and in all such other courses,
including all such courses as are usually taught in business colleges, and
all and any matters or things as are usually prescribed and taught in
schools and colleges of the highest grade, and such as are prescribed in
a classical and scientific school of the first-class, and to enforce and ©
maintain discipline by such course in military tactics and training as is
adopted in all schools and colleges, where the military feature is a
part of the curriculum, with the right and privilege to make and prescribe
such rules and regulations as from time to time may seem proper to
them, and to change and alter the same to enable them to conduct —
daily and vearlv exercises, and successfully to govern and generally
promote and carrv out the objects and plan of said academy.
2. The said academy shall have perpetual succession, and a common
seal, which it mav alter or amend at its pleasure and may, in its cor-
porate name, sue and he sued, iinplead and be impleaded, contract and
be contracted with, with power to purchase, receive, and hold to them |
and their successors forever any lands, tenements, rents, goods, and
chattels of what kind soever, which may be purchased by or be devised
or given to them for the use of said academy; and to lease, rent, sell,
or otherwise dispose of the same, in such manner as may seem most
conducive to its interests; and shall have the right to make regulations
for the government of all persons and things and property under its
authority, for the management of its estate, and the due and orderly
conduct of its affairs: provided, that the lands, goods, and chattels
so authorized to be held, shall not exceed in amount or value, fifty
thousand ($50,000.00) dollars.
3. The said academy may have public and other celebrations at such
times and places, and in such manner and form as to it may seem
proper, and may prescribe the form and number and kind of studies to
be pursued and comprehended by its pupils, to entitle the latter to
certificates of distinction or proficiency or graduation, respectively, and
will confer or bestow upon its pupils or graduates such diplomas or
certificates, or other evidences of graduation, distinction, or proficiency
as said pupils may require in their various studies or employments,
according to the regulations of said academy, and the determination of
its teachers, instructors, or other officers, which said diplomas or cer-
tificeates shall bear the seal of said academy, and the signature of its
principal, instructor, or such of them as may be designated by the said
principal or its directors.
4, The capital stock of said corporation shall not be less than five
thousand ($5,000.00) dollars, nor more than fifty thousand ($50,000.00)
dollars, to be divided into shares of fifty ($50.00) dollars each.
5. The officers of said corporation shall be as follows—to wit: A
president, a vice-president, a secretary and treasurer, which office shall
be held by one person, who, together with three or other stockholders,
who shall constitute the board of directors of said corporation, and a
majority of said board shall constitute a quorum; and such other officers
and agents as the directors of said company may appoint. The secre-
tary and treasurer of said corporation is to give a bond in such penalty
as shall be fixed by the stockholders, in general or special meeting, for
the faithful performance of his duties. The said board of directors
shall be empowered to appoint, designate and employ the faculty of
such academy, and delegate to it the right to prescribe proper rules and
rerulations for the government of said academy.
6. The said academy is to be an educational institution, and the
property owned by it so long as the said corporation shall exist shall be
devoted to educational purposes as aforesaid; a majority of the boarc
of directors of said corporation shall not have the right to sell any of
the real estate belonging to said corporation, except with the consent
of a majority of the stockholders of said corporation acting in genera
oz special meeting.
7. Annual meetings of the stockholders of said corporation shall be
held on the first day of April in each and every year, and special meet
ings of said stockholders may be called by the president of said corpora
tion, or, in his absence or disability, by the vice-president, or in th
absence or disability of both, by the other three directors jointly.
8. The faculty of said academy shall consist of a principal instructor
and such assistants and instructors as may be deemed requisite, to b
chosen by the board of directors of the corporation. ,
9. This act shall be in force from its passage. °
