Chap. 467.—An ACT to incorporate the Westminster school of Richmond,
Virginia.
Approved February 21, 1900.
1. Be it enacted by the general assembly of Virginia, That Robert
P. Kerr, Donald Gutherie, Jere Witherspoon, G. R. Cannon, J. N. Cul-
lingworth, and P. A. Irving, as trustees, and their successors, be, and
they are hereby, incorporated and made a body politic under the name
and style of the Westminster school of Richmond, Virginia, for the
purpose of keeping and conducting a school of the above name, and for
teaching and giving instruction to such persons as may be admitted
to their care as pupils of said school, in all the various studies and courses
of instruction in ancient and modern languages, sciences, music, fine
arts, and in all other things usually prescribed in schools, with the right
and privilege to make and prescribe such rules and regulations as from
time to time may seem fit and proper, and to change and alter the same
as the best interests of the school may require.
2. That said corporation shall have perpetual succession and a common
seal, which it may alter or amend at its pleasure, and may in its corporate
name sue and be sued, plead and be impleaded, contract and be con-
tracted with.
3. The said trustees and their successors shall have power to appoint
a president, vice-president, secretary, treasurer, professors, teachers, and
such other officers and agents as they may see fit for the corporation,
and they may take from the treasurer or any other officer or agent bond
with security, and in such penalty as they may deem proper, made pay-

able to the said corporation, and conditioned for the faithful performance
of the duties of such officers or agents under such rules and regulations
as may be adopted by said trustees.
4. The said corporation shall have power to acquire by purchase, gift,
devise, or bequest, property, real and personal, and the same from time
to time to sell, convey, mortgage, encumber, charge, pledge, grant, lease,
alien, and dispose of, to receive endowments, and create scholarships upon
such terms and conditions as it may deem proper, and holding, using, con-
trolling, encumbering, and disposing of said property for the sole use and
benefit of the Westminster school of Richmond, Virginia. But the said
school shall not at any time acquire and hold real and personal estate
exceeding in value the sum of one hundred thousand dollars.
5. The said school may have such public and other celebrations at such
times and places and in such manner and form as it may deem proper,
and may confer and bestow upon its pupils or graduates such diplomas,
degrees, or certificates and other evidences of graduation, distinction,
and proficiency as said pupils may acquire in their various studies or
employments, according to the regulations of such school, and the deter-
mination of its teachers, instructors, or other officers, which said
diplomas, degrees, and certificates shall bear the seal of said ‘school,
and the signature of its principal.
6. The officers of said school shall consist of a principal, and any
such assistants in the school and academic and musical departments and
in the domestic department as may be deemed requisite, to be chosen
in such manner and form as the said trustees may prescribe.
7%. The said trustees may adopt such constitution, by-laws, rules, and
regulations not contrary to the laws of this state as they may deem
roper.
P g Any vacancy among the said trustees which may occur in their body,
arising from death, resignation, inability or refusal to act, removal from
this state, or other cause declared by the by-laws or constitution suffi-
cient to create a vacancy, shall be filled in accordance with the provisions
of the by-laws or constitution: provided, that no trustee shall be selected
other than a male communicant of the Presbyterian church in the
United States.
9. This act shall be in force from its passage.
