Chap. 427.—An ACT to incorporate the Spotsylvania telephone company.

1. Be it enacted by the general assembly of Virginia, That J. P. H.
Crismond, 'T. A. Harris, 8S. I. Baggott, I. D. Harris, A. H. Crismond,
E. D. Cole, and Lee J. Graves and such persons as they may hereafter
associate with them, their successors and assigns, be, and thev are
hereby, made and constituted a body politic and corporate, under the
name and stvle of the Spotsylvania telephone company, for the pur-
pose of establishing a telephone line from the court-house of said
county to Fredericksburg, Virginia, and such other points in this and
adjoining counties as said company may desire: provided, same does
not conflict with the charter rights of existing companies; and under
that name and stvle shall have perpetual succession, may sue and be
sued, contract and be contracted with, plead and be impleaded, have a
common seal and change the same at pleasure, and shall have all the
rights and privileges of similar corporations and be subject to all of the
restrictions of the same imposed by the laws of Virginia, now in force
in reference to such companies.
The capital stock of said company shall be not less than five hundred
dollars and not more than five thousand dollars, divided into shares of
ten dollars each, and such shares of stock may be disposed of in the
purchase of material and in the payment for work or otherwise, upon
such terms as the directors may deem expedient and shall be transfer-
able as provided for by the by-laws of the company, and each share shall
entitle the holder thereof to one vote at all the meetings of the stock-
holders, to be given in person or by proxy.
_ The said company shall have power to acquire the necessary right
of way on the public highways fur the erection of its poles and hold by
ogle
purchase or otherwise title to land necessary for uses of said company,
the principal office of which shall be at Spotsylvania courthouse, Vir-
ginia.
3. The incorporators hereunder shall, within ninety days after the
passage of this act, meet for the organization of the said company and
the election of its officers.
4. All taxes or levies due or to become due by said company shall
be paid in lawful money of the United States, and not in coupons.
5. This act shall be in force from and after its passage.
