Chap. 155.—An ACT to confirm and amend a charter granted to the young
men’s Christian association of Staunton, Virginia, by the circuit court of
Augusta county on the 28th day of November, 1881, and on the 28th day
of March, 1882, and to validate all acts of said association done under
eaid charter.

Whereas a charter was granted to the young men’s Christian associa-
on of Staunton, Virginia, by the circuit court of Augusta county on
‘ovember twenty-eight, eighteen hundred and eighty-one, and on March
wenty-eight, eighteen hundred and eighty-two, and the said charter
as duly recorded in the office of the secretary of the commonwealth
s required by law; and
Whereas said association was duly organized under said charter as a
haritable and benevolent institution without capital stock, and ac-
uired real and personal estate in the city of Staunton, Virginia; and
Whereas in order to pay for its real estate and a building erected
hereon said association borrowed the necessary money and executed a
eed of trust on July first, eighteen hundred and ninety, to secure the
ayment of certain coupon bonds therein described bearing six per cen-
um interest, which were called in and paid on July first, eighteen
undred and ninety-nine, and a new deed of trust executed on that day
o secure the payment of eighteen thousand and five hundred dollars
videnced by the coupon bonds of said association bearing interest at
he rate of five per centum per annum; and
Whereas a question has arisen as to the power of the said circuit court
o charter such a corporation as well as the authority of said association
o execute said deeds of trust and issue said coupon bonds; and
Whereas it is desirable that all acts done under said charter should
validated and that said charter should be confirmed and amended
o as to read as follows—to wit:
§ 1. Be it enacted by the general assembly of Virginia, That Wil-
iam A. Bowles, C. Russell Caldwell, C. W. Brown, James Ker, junior,
Tenry Hutchinson, J. A. Fauver, Joseph B. Woodward, J. W. Love-
rrove, J. Fred Effinger, J. M. Spotts, B. F. Huches, H. H. Blease, and
1. M. MclIlhany, and such other persons, whether minors or adults, as
ire now or may be hereafter associated with them, are hereby declared
. body politic and corporate, by the name, style and title of the young
nen’s Christian association of Staunton, Virginia, and by that name
shall be known in law, and shall have perpetual succession and a com-
non seal, with the right to change the same at pleasure, and shall have
she power to sue and be sued, contract and be contracted with, plead
ind be impleaded, and have all the rights and privileges of a corpora-
‘ion and be subject to all the rules, regulations, and restrictions, and do
ill acts and enjoy all other powers incident to similar corporations in
yeneral and subject to the laws of this commonwealth.
§ 2. That the object of said association shall be the promotion of
religion, morality, and education, and the social and physical culture
of young men.
§ 8. That the members of said association who are or may be entitled
to vote at any election of officers shall have full power and authority
to make and adopt a constitution and by-laws, and to prescribe rules
and regulations for the government of said association, and the promo:
tion of its interests, and for the admission and expulsion of members
and from time to time to alter and amend the same: provided, the same
be not inconsistent with the constitution and laws of the United States
aa o the state of Virginia.
That the officers of the said association shall consist of a presi-
dent, ‘five vice-presidents, a recording secretary, a treasurer, and_ five
directors, who shall together constitute the board of directors , and shall
be elected annually in the manner and at such time as the constitution
and by-laws may preseribe and shall hold office until their successors
are elected and qualify.
§ 5. That the following citizens of Staunton shall constitute the offi-
cers of the said association until their successors are eleeted and qualify
in accordance with its constitution and by-laws: William A. Bowles.
president; C. Russell Caldwell, treasurer; C. W. Brown, recording secre-
tarv; James Ker, junior, Henry Hutchinson, J. A. Fauver, Joseph B.
Woodward, and J. W. Lovegrove, vice-presidents, and J. Fred Ethnger,
J. M. Spotts, B. F. Hughes, HW. WH. Blease, and If. M. McTthany, directors.
S$ 6. That the said association may take and acquire by purchase, gift,
devise, bequest, or otherwise, and hold real and personal estate in the
city of Staunton, Virginia, and may sell, exchange, lease, rent, encum-
ber or otherwise dispose of the same in such manner as may seem most
advantageous: provided, that it shall not hold real and personal estate
of greater value than one hundred thousand dollars; and provided
further, that said property or any income derived therefrom, shall be
ai Ww holly for the purposes of said association.
8 7%. That the said association shall also have the right to borrow
maney to such amounts and at such times as the board of directors shall
deem necessary for the purposes of said association and issue coupon or
registered bonds of said association therefor in such denominations as
said board shall deem best, bearing interest at a rate not exceeding six
per centum per annum, and secure the payment of the same by deed or
deeds of trust upon such property of said association as said board of
aera shall deem advisable.
. That all acts done under the charter granted said association by
the cireuit court of Augusta county, Virginia, on November twenty-
eighth, eighteen hundred and eichty- -one, and on March tw enty-eighth,
eighteen hundred and eighty- -two, and especially the deeds of trust exe-
cuted by said association on July first, eighteen hundred and ninety,
and July first, eighteen hundred and ninety-nine, respectively, convey-
ing to If. D. Pec k, the lot and building owned by said association in
the city of Staunton, Virginia, for the purpose of securing the payment
of certain coupon bonds of said association therein described, be vali-
dated and confirmed.
§ 9. That said association being purely charitable and benevolent
shall be exempt from the payment of all taxes, state and municipal.
§ 10. That this act shall be in force from its passage.
