Chap. 711.—An ACT toincorporate the Eureka power and manufacturing com.
pany.

1. Be it enacted by the general assembly of Virginia, That Wil.
liam M. Dunlop, G. B. Thomas and M. C. Thomas, and such othe:
persons as may be hereafter associated with them, be, and they are
hereby, created and constituted a body politic and corporate unde:
the name and style of the Eureka power and manufacturing com
pany, and by this name shall be known in law and shall have per
petual succession.
2. The said company shall have power to purchase, hold and sel
lands not exceeding one thousand acres at any one time, or so muct
thereof as may be necessary for the business of the company; toim
prove and work the same; to make thereon streets and roads; toerec
thereon buildings, factories and other improvements; to operate cot
ton mills orore washers; to utilize and dispose of their products, anc
to do all that may directly or indirectly pertain to the increase o
the business; to construct, maintain and operate water-works; t
supply water; to erect poles and wires; to transport, store and sup
ply electricity for heating, lighting, manufacturing and othe
purposes, and to mine and quarry for clay, stone, sand and othe
minerals.
3. The company shall have the right to transport, store, distribut
or supply water and electricity for and to the public, upon sucl
terms and charges as may be mutually agreed upon, and shall hav
a lien on the same until all charges are paid.
4. In order to lay, maintain and operate its lines, building of it
dams on waterways, in the counties of Roanoke or Montgomery, fo
this public use, the company may acquire, by condemnation, in th
mode prescribed bylaw for internal improvement companies, sucl
lands and easements and other property as may be required for the
purpose. The said company shall have the right to build tramways
or railroads to connect their lands, manufactures or other works
with the nearest railroad, not to exceed five miles in length, and to
erect poles along any road or public highways, or other places, for
carrying its wires, but the consent of the county court and board of
supervisors must first be obtained.
5. The capital stock of said company shall not be less than five
thousand dollars, and may be increased to any amount not exceeding
one hundred thousand dollars, at the option of the company, by the
issue and sale of shares, the par value of which shall not be less than
fifty dollars; said increase to be under such regulations as the
board of directors of said company shall from time to time prescribe,
and the directors may receive real or personal property suitable to
the business of the company in payment for subscriptions to the
capital stock, at such valuation as may be agreed upon between the
directors and the subscribers.
6. The principal office of said corporation shall be located at some
point within the state of Virginia.
7. It shall be lawful for the said corporation to borrow money,
issue and sell its bonds or other obligations from time to time, for
such sums and on such terms and at such prices as the board of
directors may deem expedient and proper in the prosecution of its
business, and may secure the payment of the same by mortgages.
or deeds of trust upon all or any portion of its property or fran-
chises; and it shall be lawful for said corporation to subscribe
for or to acquire by purchase, exchange or otherwise, the shares
and bonds of any corporation of like character in this state, and for-
any corporation of this state to acquire, guarantee or hold the shares -
and bonds of the said corporation. :
8. No stockholder of said corporation shall be held liable for its -
debts or liabilities for a larger sum than the amount of any unpaid -
balance due to the said corporation upon his stock, according to the -
terms of the issue or sale thereof.
9. All taxes due the state shall be paid in lawful money of the:
United States, and not in coupons. ;
10. This act shall be in force from its passage.
