Chap. 404.—An ACT to incorporate the Chamber of commerce of the city of
Norfolk.
Approved February 26,1894.
1. Be it enacted by the general assembly of Virginia, That Wil-
liam Lamb, B. P. Loyall, Washington Taylor, Barton Myers, W. T.
Walke, John L. Roper, and such other persons as may hereafter be-
come associated with them, are hereby constituted a body corporate
by the name of the Chamber of commerce of Norfolk, to be located
in the city of Norfolk, Virginia, for the purpose of devising ways
and means of advancing and developing the commercial, manufac-
turing, mechanical, professional and literary interests of the city of
Norfolk; collecting and diffusing information in relation to the
resources, business and trade of the city, and of making such proper
rules and regulations for the transaction of business among its mem-
bers as it may determine to be expedient, and may make and use a
common seal, and the same to break, alter or renew at pleasure.
2. The said corporation may purchase and hold or lease any real
or personal estate, and sell or encumber such as they own; they shall
have authority to make, ordain and establish such constitution, by-
laws, rules and regulations relative to the concerns of the corpora-
tion as they may deem necessary and expedient: provided the same
be not inconsistent with the constitution and laws of the state and
of the United States.
The said chamber of commerce shall have no capital stock, but
may issue to its members certificates of membership, charging there-
for such initiation fee and such annual dues as may be prescribed
by its by-laws; and each such certificate of membership shall en-
title its holder to one vote in all meetings of the members of said
chamber of commerce, but he shall not be entitled to vote by proxy.
3. The officers of the said corporation shall be a president

lay in April, or at such time as the by-laws may prescribe; the

4. This act shall be in force from its passage.
