Chap. 385.—An ACT to confirm and amend the charter of the Virginia pyrites
mining company.
Approved February 24, 1894.
1. Be it enacted by the general assembly of Virginia, That the
charter of the Virginia pyrites mining company, granted by the
judge of the circuit court for the city of Richmond on the twenty-
first day of April, eighteen hundred and ninety-one, be, and the
same is hereby, confirmed and amended so as to read as follows:
2. That A. Heckscher, John S. Fleming, G. S. Wing, G. N. Shu-
man, J. W. Blanton, J. I. Boswell, junior, T. HE. Gill and W. H. Mann,
and such others as are now or may hereafter be associated with them,
and their successors, are hereby created a body corporate and politic
by the name of the Virginia pyrites mining company, and by that
name shall be known in law and have perpetual succession; may
sue and be sued, defend and be defended, whether at Jaw or in
equity, and make and have a common seal, to be altered and re-
newed at pleasure, and shall have, enjoy and exercise all the rights,
powers and privileges pertaining to corporate bodies, and make by-
laws, rules and regulations consistent with the laws of this common-
wealth.
3. The capital stock of said corporation shall not be less than one
hundred thousand nor more than three hundred thousand dollars,
to be divided into shares of one hundred dollars each.
4. That the company shall have the right to purchase and hold
such real estate as it shall find necessary for the proper conduct of
its business, not to exceed five thousand acres at any one time.
5. The company is authorized and empowered to mine pyrites and
other ores; to manufacture sulphur, sulphuric acid, soda, super-
phosphates and fertilizers, and all other products in which pyrites
or its elements can be made to form an important or value part;
and in furtherance of this power may erect all suitable buildings,
machinery, factories, acid chambers and works, and may build, for
the accommodation of.its agents, officers and employees, suitable
dwellings, stores and other houses, which it may rent or sell, and it
may also, for the accommodation of its employees and others, keep
and maintain a commissary or store for the sale of groceries, goods,
wares and merchandise.
6. And the said corporation is hereby empowered to borrow money,
to issue bonds and secure the same by deed of trust on its property,
to dispose of its bonds and stocks upon such terms as may be deemed
best by its directors; and whenever it may be deemed advisable to
invest its money in stocks or bonds of other chartered companies,
such investment not to exceed at any one time the sum of one hun-
dred thousand dollars; and all the acts of the company as to the
issue of bonds and stocks, and the disposal of the same prior to this
date, are hereby ratified and confirmed: provided that the rights of
creditors of the company existing at the time of any sale of stock
or bonds for less than par shall not be prejudiced by such sale, un-
less the same was made with their knowledge and concurrence.
7. The principal office of the company shall be located at Rich-
mond, Virginia, and its principal mining and manufacturing opera-
tions conducted in Louisa county, Virginia.
8. The rights and powers granted to the corporation by an act en-
titled “‘an act to authorize the Virginia pyrites mining company to
construct a railroad or railroads connecting its mines and lands
with other railroads,” approved December twenty-second, eighteen
hundred and ninety-one, are hereby reserved and confirmed to said
company, which shall have the power to make -said connections by
the most direct and practicable routes.
9. The officers of the company shall consist of a president, vice-
president, general manager, secretary and treasurer, and seven di-
rectors. |
10. This charter is granted upon the express condition that all
taxes and dues from the corporation to the commonwealth shall be
paid in lawful money of the United Sfates, and not in coupons.
11. This act shall be in force from its passage.
