Chap. 29.—An ACT to incorporate the General athletic association of the Uni-
versity of Virginia.
Approved January 15, 1894.
1. Beit enacted by the general assembly of Virginia, That E. Hope
Norton, R. C. Blackford, J. Porter Parker, J. Markham Marshall, R.
DPD. Anderson, R. E. L. Marshall, J. Breckenridge Robertson, or such
of them as shall accept this act, with such other persons as may here-
after be associated with them, and their successors, be, and they are
hereby, constituted a corporation to be known as the General ath-
letic association of the University of Virginia, by which name they
shall have perpetual succession and a common seal, which they may
alter at pleasure, shall sue and be sued, and shall have and exercise
nll the rights, powers and privileges pertaining to corporations under
the laws of this Commonwealth.
2. The object of the corporation shall be to promote athletics at
the University of Virginia.
3. The said corporation may acquire, by purchase, gift, grant, de-
vise, bequest, or in any other lawful manner, and hold any property,
real and personal, not to exceed one hundred thousand dollars, and
may sell, transfer,encumber and otherwise dispose of the said prop-
erty as it may see fit; and all property and the rents, issues, profits,
and income thereof shall be wholly exempt from taxation while held
by the said corporation.
4. The corporation shall, when fully organized, consist of all the
matriculated students and alumni of the University of Virginia, and
such others as by vote of the corporation may be associated with
them; and no member shall be individually liable for the debts of
the corporation.
5. The officers of the corporation shall be a president, a secretary,
a treasurer, and such others as the corporation may appoint.
6. General meetings of the corporation shall be held annually at
such times and places as the corporation may determine. At all
meetings each member of the corporation personally present shall be
entitled to one vote, and after it shall have been fully organized,
twenty-five members shall constitute a quorum for the transaction
of business.
. In case of a dissolution of said corporation, whether by forfeit
ure of this charter or otherwise, all the property and effects of gaic
corporation, after payment of its debts and liabilities, shall vest ir
the rector and board of visitors of the University of Virginia for thé
purpose of promoting athletics at said university.
8. There shall be no fee required of said corporation under the
provisions of chapter two hundred and twenty-nine of the acts ot
eighteen hundred and ninety-one and two, but the payment of anv
fee as acondition precedent to the operation of this charter is hereby
waived and released.
9. This act shall be in force from its passage.
