Chap. 263.—An ACT to incorporate the Halifax Episcopal male academy.
Approved February 15, 1804.
1. Be it enacted by the general assembly of Virginia, That A. M
Randolph, C. O. Pruden, C. F. Smith, G. W. Dame, P. M. Boyden, S
G. Whittle, J. W. Morton, G. E. Faulkner, C. Dabney, E. W. Saun
ders, Charles LL. Holland, R. Holt Easley and John W. Riely, a:
trustees, and their successors, be, and they are hereby, incorporatec
and made a body politic under the name of the Halifax Episcopal male
academy, at the town of Houston, Virginia, under the auspices of
the Danville convocation of the Protestant Episcopal church in the
diocese of southern Virginia, for the purpose of keeping and con-
ducting a boarding and day school of the above name, and of teach-
Ing and giving instruction to such persons as may be committed ta
their care as pupils of the said school, in all the various studies and
courses of instruction in ancient and modern languages, sciences,
book-keeping, telegraphy, short-hand, typewriting, and in all other
things usually prescribed in schools and colleges of the highest
rade.
: 2. The said corporation shall have perpetual succession and a
common seal, which it may alter or amend at its pleasure; and may,
in its corporate name, sue and be sued, plead and be impleaded,
and contract and be contracted with.
3. The said trustees and their successors shall have power to appoint
a president, vice-president, secretary, treasurer, professors, teachers
and such other officers and agents for the said corporation as they
may deem proper; and they may take from the treasurer or other offi-
cer, or any agent, bond with security and in such penalty as they may
consider necessary, payable to the said corporation, and conditioned
for the faithful performance of his duties, under such rules and regu-
lations as may be adopted by the said trustees. And it shall be
lawful for the said corporation to obtain a judgment for the amount
thereof, or any special delinquency incurred by such officer or agent,
on motion in the circuit or county court of Halifax county, Vir-
ginia, against such officer or agent and his surety or sureties, his
or their executors and administrators, upon giving ten days’ notice
of such motion.
4. The said corporation shal] have power to acquire by purchase,
gift, devise and bequest, property, real and personal; to receive en-
dowments, contributions and subscriptions, and create scholarships
upon such terms and conditions as the said trustees may deem pro-
per; and may hold, manage, control, sell, convey or dispose of said
property solely for the benefit of the Halifax Episcopal male
academy: provided that the said corporation shall not at any time
acquire and hold real and personal estate exceeding in value fifty
thousand dollars.
Oo. The said trustees shall have power to appoint agents to solicit
donations, contributions and subscriptions to the said corporation ;
and in case any person shall fail to pay his or her subscription, to
enforce the payment thereof in the name of the said corporation by
warrant before a justice of the peace or by motion in any court of
record, according to the amount of such subscription, upon giving
ten days’ notice of such motion.
6. The said academy may have such public and other celebrations,
at such times and places and in such manner and form as it may
deem proper, and may confer and bestow upon its pupils or graduates
such diplomas, degrees or certificates or other evidences of gradua-
tion, distinction or proficiency as said pupils may acquire in their
various studies or employments, according to the regulations of the
said academy and the determination of its teachers, instructors or
other officers, which diplomas, degrees and certificates shall bear the
seal of the said corporation and the signature of the principal of
the academy.
7. The officers of the said academy shal] consist of a principal and
any such assistants in the academic and other departments, and in
the domestic department, as may be deemed requisite, to be chosen
in such manner and form as the said trustees may prescribe.
8. The said trustees shall have the right and power to adopt, make
and prescribe such by-laws, rules and regulations, not contrary to the
laws of this state, as from time to time may seem to them fit and
proper, and to change and alter the same as the best interests of the
academy may require.
9. The said trustees shall have power to fill any vacancy which
may occur in their body arising from death, resignation, inability or
refusal to act, removal from this state, or from other cause declared
by the by-laws sufficient to create a vacancy.
10. If at any time the said academy shall be abandoned or cease
to be used for the purposes of this act, then all of its property, real
and personal, shall, after reasonable notice to the public, be sold by
the said trustees by public auction, upon such terms as they may pre-
scribe, and the proceeds of the sale thereof apportioned among the
donors, contributors, and subscribers to the said corporation, their
heirs and distributees, in proportion to the amount of their respec-
tive donations, contributions and subscriptions.
11. This act shall be in force from its passage.
