Chap. 605.—An ACT to incorporate Woodlawn male and female
academy.
Approved March 2, 1892.
1. Be it enacted by the general assembly of Virginia,
That W. K. Early, Thomas M. Dobyns, James N. Dobyns,
C. D. Dobyns, J. J. Dobyns, H. Burnett, J.W. Montgomery,
S. M. Robinson, S. G. Robinson, G. M. Ivie, H. H. Beamer,
William M. Houseman, E. L. Williams, and J. W. Dobyns,
and their successors, be, and they are hereby, constituted
a body politic and corporate under the name and style of
the trustees of Woodlawn male and female academy, and
by that name shall have perpetual succession and a com-
mon seal, and may sue and be sued, plead and be im-
pleaded in any court of law or equity having jurisdiction
thereof, and shall be capable in law to receive, hold, and
dispose of real and personal property, to an amount not
exceeding five thousand dollars, to carry out the purposes
of their incorporation.
2. The board of trustees shall consist of twelve mem-
bers, a majority of whom shall have power to appoint a
principal and assistants for said academy and such other
officers as they may deem proper, and to fix their salaries,
which principal may, with the advice and consent of the
trustees, establish and regulate the course and mode of
education and instruction to be pursued in said academy,
and to adopt such legal rules and regulations as may be
deemed proper and expedient for the good government of
the institution. The trustees shall have power to elect
annually a president of their body, a secretary and a
treasurer, and such other officers as they may deem proper.
3. The said trustees shall have power, by themselves or
their agents, to take and receive subscriptions for the said
academy, which subscriptions shall be divided into shares
or stocks of twenty-five dollars each, and to enforce the
payment thereof, either by warrant before a justice, or by
motion or suit in any court of record having jurisdiction
according to the amount claimed.
4. The said trustees shall, as soon as practicable, elect
their officers, and the president of the board shall, imme-
diately after his election, issue and deliver to each of the
shareholders of said academy a certificate showing the
number of shares or stocks owned by them, which certifi-
cates shall be assignable according to the law governing
the assignment of bonds and promissory notes.
5. The board of trustees, in connection with the princi-
pal of the academy and his assistants, shall have power
to confer such diplomas, certificates of scholarships, and
literary titles as they may think best to promote the cause
of education.
6. The board may also adopt such by-laws, rules, and
regulations for their government as may be deemed expe-
dient: provided they are not contrary to any provision or
provisions of this act.
7. If, at any time the said academy should be abandoned
or ceased to be used for the purposes intended by this
act, then said academy property, real and personal, shall
be sold at public auction after reasonable notice by the
trustees, and the proceeds of said sale shall be paid to the
shareholders in proportion to the amount of their sub-
scriptions.
8. This act shall be in force from its passage.
