CHAP. 327.—An ACT to ratify, confirm, and adopt the charter of
the Gray national telautograph company, whicl: was granted
August 6th, 1888, by the circuit court of the city of Richmond.
Approved February 20, 1892.
Whereas on the sixth day of August, eighteen hundred
and eighty-eight, the judge of the circuit court of the city
of Richmond granted a charter incorporating the Gray na-
tional telautograph company, which charter, together with
the certificate of the secretary of the commonwealth as to
the filing and recordation of the same in his office, is in
the words and figures following, to wit:
Charter of the Gray national telautograph company.—
The undersigned persons, who desire to form a joint-stock
company for the conduct of the business hereinafter set
forth, do hereby make, sign, and acknowledge the follow-
ing certificate in writing.
The name of the company is to be the Gray national
telautograph company. The purposes for which it is
formed are as follows:
First. To promote, establish, and maintain the general
business of a telegraph, telephone, and telautograph com-
pany within and throughout this commonwealth and the
other states and territories of the United States and the
districts of Columbia and Alaska, by the means and use
of any electrical or other devices suitable or appropriate
to the same, and particularly by means of what is known
as the “telautograph system,” invented by Professor Eli-
sha Gray, for the electrical transmission of messages or
other communications written out in ordinary script or
otherwise suitably prepared for such transmission, and
the automatic reproduction of the same at the office of
destination, including any extensions or improvements of
the said system hereafter devised for or added thereto, the
said telautograph system and any other telegraphic or
telephonic devices, to be used in conjunction with each
other or separately, as may be found expedient, and any
other methods of electrical intercommunication to be
used if desired.
Second. To build, purchase, rent, or otherwise acquire,
and to maintain and operate such, or any line or lines of
poles and wires, with the necessary fixtures, stations,
terminals, exchanges, or other facilities, including under-
ground wires and submarine cables connected there-
with, within this commonwealth or elsewhere in the Uni-
ted States, as may be suitable for the proper, full and
convenient carrying on of the business of the company, or
eitherof the telegraphic or telautograph systems included
therein, and to take, purchase, or otherwise acquire, and
to hold and thereafter to sell or otherwise dispose of such
real estate not exceeding the amount hereinafter limited
and provided for, as may be found necessary for the es-
tablishment, erection, or maintenance of such lines of
poles or wires, with the necessary fixtures, stations, termi-
nals, exchanges, or other facilities, including underground
wires and submarine cables connected therewith.
Third. To erect, maintain, and operate suitable offices,
works, shops, or other structures within this common-
wealth or elsewhere, for the convenient carrying on of the
said business, and the manufacture, sale, renting, or other
disposition of the necessary machinery, instruments, or
devices appropriate to said telautograph or any other tele-
graphic or telephonic systems, or other systems of electric
inter-communication of thought, and to carry on such
manufacture, sale, renting, or other disposition of the
said machinery, instruments, or devices to such extent as
may be desired. .
Fourth. To take, receive, and acquire by purchase, gift,
assignment, subscription to its capital stock or otherwise,
any inventions or letters-patent of the United States for
inventions appropriate to or included in said telautograph
system or any other inventions suitable to the general
business of the company, and to manufacture. use, and
vend, or license others to manufacture, use and vend such
inventions, in whole or in part, and the machinery and
instruments employed therefor, as fully as may be de-
sired.
Fifth. To take, receive, and enjoy any payments or roy-
alties from any corporation or corporations which may
purchase telautograph or other instruments or machinery
from this company, or to which licenses from this company
may be granted, and, when necessary or convenient, to
receive such payments or royalties in shares of the capital
stock of such corporation or corporations, the company
reserving the right to hold the said shares thus paid to it,
and to collect and receive any dividends accruing thereon,
or to sell or pledge the said shares from time to time as may
be found most expedient in the conduct of its business.
3. The capital stock of the company is not to be less
than five hundred thousand dollars or more than fifteen
million dollars, to be divided into shares of the par value
of one hundred dollars each.
4. The amount of real estate proposed to be held by the
company is not to exceed ten thousand acres in each of the
states and territories of the United States.
5. The principal office of the company is to be kept at
Richmond, Virginia, but the board of directors may estab-
lish branch offices wherever they are necessary and proper
for the use of the company and the conduct of its business.
6. The chief business to be transacted by the company
ie the transmission of messages or thought and its expres-
sion from one point to another by the means of electricity
and electric contrivances and devices.
7. The names and residences of the officers who for the
first year are to manage the affairs of the company are as
follows—viz.: T. M. Logan, Richmond, Virginia, presi-
dent; Charles E. Coon, New York, New York, vice-presi-
dent and director; Charles B. Farwell, Chicago, Illinois,
director; J. M. Thompson, St. Louis, Missouri, director;
George H. Hoadley, New York, New York, director; Joel
F. Freeman, New York, New York, director; Wendell
Goodwin, New York, New York, director; J. B. Pace,
Richmond, Virginia, director; P. B. Plumb, Emporia,
Kansas, director; Eugene Hale, Ellsworth, Maine, direc-
tor; David I. Carson, New York, New York, secretary;
Charles E. Coon, New York, New York, treasurer.
8. Subscription to the capital stock may be payable
either in money or in property of any kind (including in-
ventions patented or unpatented, employing electricity)
or interest therein, and especially including any interest
in and to sundry and all inventions applicable to the
United States of America, consisting of methods and elec-
trical and other devices, used or to be used, in what is known
as the “telautograph” of Professor Elisha Gray, for the
electrical transmission of characters and messages, or
other communications, written out or traced in ordinary
script or otherwise prepared for such transmission, and the
automatic reproduction of other suitable delivery of the
same at the office or point of destination, including any
and all caveats filed at, or hereafter to be filed, in the
United States patent office; all applications for letters

the “Gray national telautograph company,” with all the
powers and privileges conferred, and subject to all the
provisions and restrictions imposed by the laws of Vir-
ginia as may be applicable to corporations of this charac-
ter, and it is ordered that the same be recorded.

The foregoing certificate and charter of incorporation
of the “Gray national telautograph company,” with the
order of the judge of the court in vacation, granting the
same, was this day received by the clerk of said court and
admitted to record, and is hereby certified to the secretary
of the commonwealth for recordation.

And whereas, afterwards, to-wit: on the day of
, eighteen hundred and eighty-sight, a subscription
of six million dollars to the stock of said company was
made,and it now being desired that the charter heretofore
granted as aforesaid by the judge of the circuit court of
the city of Richmond shall be ratified and confirmed by
the legislature ; therefore,
1. Be it enacted by the general assembly of Virginia,
That the aforesaid charter of the Gray national telauto-
graph company be, and the same is hereby, ratified, ap-
proved and confirmed.
2. All taxes due the state of Virginia by said company
Bhall be paid in lawful money of the United States, and
not in coupons.
3. This act shall be in force from its passage.
