Chap. 319.—An ACT to incorporate the Union improvement and
land company of Southern Virginia.
Approved February 20, 1892.
1. Be it enacted by the general assembly of Virginia,
That H. W. West, of Cornland, Virginia; W. H. Barclay,
and K. T. Harvie, of Philadelphia; Charles Bendheim, of
Alexandria, Virginia; George D. Herbert, of Harrisburg,
Pennsylvania; R. E. B. Stewart, Wallaceton, Virginia; E.
D. Kendred, Roanoke, Virginia; George S. Shackleford,
Orange court-house, Virginia; Southy S. Wilkins, Bird’s,
West Virginia, and such other persons as may hereafter
become associated with them, their successors and assigns,
are hereby constituted and created a body corporate and
politic under the name and title of the Union improvement
and land company of Southern Virginia, for the purpose
of acquiring, reclaiming, improving, and developing tim-
ber land, swamp, waste or other lands, in the state of
Virginia or elsewhere.
2. The said corporation shall have the right, power, and
authority to have, hold, and enjoy the rights, franchises,
and privileges necessary to conduct and prosecute the
business for which it is created; and shall be capable in
law to purchase property of any kind, and the same receive,
hold, and enjoy; to grant, sell, mortgage, and dispose
thereof; to issue mortgage bonds upon its franchises,
rights, privileges, and property created or to be created in
such sums or to such amounts as the said corporation may
by its board of directors determine; to issue such other
evidences of indebtedness as may be necessary or advisa-
ble and the said board of directors may determine; to
change the name of said corporation by a majority vote of
the stockholders; to consolidate the franchises, rights,
privileges, and capital stock with any other corporation or
corporations chartered by the state of Virginia, or any
other state, or to purchase such other corporation or cor-
porations; to issue capital stock of such consolidated
company in place of and in lieu of the capital stock of
said corporation; to sue and be sued, plead and be im-
pleaded, contract and be contracted with; to make and
have a common seal, and at pleasure to break and alter
the same; to do and perform any and all other acts neces-
sary and proper to perfect its organization, construct its
works, and operate the same; to make and put in execu-
tion such by-laws as it may deem necessary and expedient,
not in contravention of the laws of Virginia, for the gov-
ernment of and conducting the business of said corporation,
and to have and enjoy all the rights, franchises, privileges,
and immunities appertaining to such corporations.
3. The capital stock of said corporation shall be fift
thousand dollars, divided into shares of fifty dollars each
provided, however, that the stockholders may, from tim
to time, increase said capital stock to such an extent ant
amount as they may deem to be for the best interests o
said corporation, not to exceed five hundred thousand dol
lars, and the said capital stock may be paid in labor, ma
terial, or other property. Each stockholder shall be enti
tled to one vote for each share held by him, and stock
holders may vote by proxy. Elections for officers or fo
the adoption of any act or resolution, shall be conducte
in such manner as such elections are conducted in othe
corporations chartered under the laws of Virginia, unles
otherwise regulated by the by-laws of said corporation.
4. The said corporation shal] have the right to erect saw-
mills, and lease or operate the same; dwelling-houses, ho.
tels, halls, or other buildings, and rent, occupy, or conduc!
them; construct sewers and drains for the improvement
of the property, and perform any other acts necessary o1
expedient for the carrying out of the purposes and pro
moting the interests of said corporation.
5. This act shall be in force from its passage.
