CHAP. 528.—An ACT to incorporate the Saint Paul Normal and
Industrial gchool in Virginia.
Approved March 4, 1890.
1. Be it enacted by the general assembly of Virginia.
That Francis M. Whittle, Alfred M. Randolph, Robert C.
Matlock, Charles R. King, George C. Shaftuck, Russel]
Sturgis, junior, Charles G. Adams, James S. Rogers, George
H. Webster, Henry C. Hardy, John M. Langston, John L.
Williams, Robert Turnbull, Peter G. Morgan, Robert M.
Mallory, and James S. Russell, and such others as they
may associate with them, and their successors, be, and are
hereby, constituted a body politic and corporate by the
name of the trustees of ‘he Saint Paul normal and indus-
trial school; and by that name ghall have perpetual suc-
cession and a common seal. They and their successors
shall be capable in law, and shall have full power and au-
thority to acquire, hold, possess, purchase, receive, and
retain to them and their successors forever any lands, ten-
ements, rents, goods, chattels, or interest of any kind
whatsoever which may be given or bequeathed to them, or
be by them purchased, for the use of an institution of
learning to be called the Saint Paul normal and indus-
trial school: provided, the same do not exceed six hun-
dred thousand dollars in value. They and their successors
shall have power to transfer, convey, and dispose of the
same in any manner whatsoever they shall adjudge most
useful to the interests and legal purposes of the said insti-
tution; and by their corporate name may sue and be sued,
plead and be impleaded, may answer and be answered in
all courts of law and equity.
2. That the purposes of the said Saint Paul normal and
industrial school shall be as follows: For the instruction
of youth in various common school and academic branches,
the best methods of teaching the same, and the best system
of practical industry; and for the carrying out of these
purposes the said trustees may establish any departments
or schools in the said institution.
3. That the trustees and their successors shall have
power to appoint a president, treasurer, teachers, and such
other officers or agents as they may deem proper. The
treasurer before entering upon the discharge of his duties
shall give bond with security and in such penalty as the
board may direct, made payable to the trustees of the
Saint Paul normal and industrial school, conditioned for
the faithful discharge of the duties of his office, said duties
to be prescribed by the said trustees, or a majority of them.
The said trustees may make contracts in behalf of said
nstitution, and in general manage the affairs of the in-
stitution.
4, That the trustees may adopt such by-laws, rules, and
regulations not contrary to the laws of this state or of the
United States as they may deem necessary for the good
zovernment of said school.
5. That when there shall be a vacancy in the board of
trustees, occasioned by death, resignation, or other cause
declared by the by-laws to be sufficient to create a vacancy,
it shall be supplied by appointment of the board; that
said board shall never be less than seven nor more than
nineteen, a majority of whom shall constitute a quorum.
6. That the board of trustees shall have power, either
by themselves, or their agents, to solicit and receive sub-
scriptions for the said school.
7. This act shall be in force from its passage.
