Chap. 283.—An ACT to authorize and enable the Fredericksburg and
Chesapeake railroad company to consolidate or merge its stock,
property, and franchises with those of any company authorized to
operate a connecting line of railroads.
Approved May 18, 1887.
1. Be it enacted by the general assembly of Virginia, That
the Fredericksburg and Chesapeake railroad company incor-
porated by the act of the gencral assembly of Virginia. of
March seventh, eighteen hundred and eighty-four, “be and
hereby is authorized and empowered to consolidate or merge
its stock, property, and franchises with or into those of any
other company or companies authorized to operate a connec-
ting line of railroad (not a competing line therewith) upon
such terms and conditions by change of name or otherwise
as may be agreed upon by the board of directors of the com-
panies so merged or consolidating, and for that purpose
power 1s hereby given to it and to auch other company or
companies to make and carry out such contracts or articles
as will facilitate or consumate such merger or consolidation:
provided that a copy of such contract or article of consolida-
tion and merger shall be filed in the office of the board of
public works.
2. Any company with or into which the Frederickshurg
and Chesapeake railroad company may consolidate or merge
under the provision hereof, may borrow money or issue or
sell its bonds, and on such terms as the board of directors
may deem expedient, and secure the payment of the same by
mortyage or deeds of trust upon all or any portion of its
property and franchises: and provided that should it (under
the provision of this act) consolidate with a foreign corpora-
tion, the consolidated company shall always remain a Vir-
ginia corporation in regard to the right of suing and being
sued.
3. All taxes levied upon the Fredericksburg and Chesa-
peake railroad company and any company or companies with
or into which it may consolidate or merge under the provis-
ions of this act, shall be paid in lawful money of the United
States and not in coupons.
4. This act shall be in force from its passage, but shall be
subject to amendment or repeal at any time by the general
assembly.
