Chap. 216.—An ACT to incorporate the Central Virginia telephone
company.
Approved Muy 14, 1887.
1. Be it enacted by the general assembly of Virginia, That
S. P. H. Miller, D. F. Kagey, C. W.S. Turner, R. W. Bear,
and L. B. Yancy, be and hereby are constituted a body politic
and corporate under the name of the Central Virginia tele-
phone company, and as such may sue and be sued, may have,
make, and use a common seal, and the same to alter or change
at pleasure, and may make such by-laws or regulations tor
the government of said company as they may think wise,
not in conflict with the laws of this state or of the United
States.
2. The said corporation shall have authority to acquire,
erect, and maintain telephone lines and offices in the counties
of Augusta, Rockingham, Page, Greene, Madison, and Orange,
or in any two of said counties, and may erect and maintain
its lines along the public highways, but not to obstruct the
same.
3. The capital stock of said company shall not be less
than two thousand nor more than ten thousand dollars, to
be divided into shares of ten dollars each.
4. The officers of said company shall be a president, who
shall as such be general manaer, and a seceretary, who shall
also be the treasurer, which oflicers shall be elected annually
on the second Wednesday of April each year hereafter by a
board of directors of not less than five, to be elected by the
stockholders in general meeting on the first Wednesday in
April of each vear hereafter.
5. The liability and responsibility of the stockholders of
said company shall be only to the extent of their unpaid
subscriptions, and for no more and no greater extent.
6. And said company shall have power to connect with
lines of telephone companies in adjoining counties on terms
to be agreed upon by said companies.
7. That 5S. P. H. Miller, D. FL Kagey, C. W. 8. Turner, R.
W. Bear, and L. B. Yancey shall constitute a board of direc-
tors for said company until the second Wednesday in April,
eighteen hundred and eighty-eight.
8. And that said company shall pay all dues and taxes to
the State in lawful money of the United States, and not in
coupons.
9. This act shall be in force from its passage.
