Chap. 133.—An ACT to incorporate the Chowan and Southern rail-
road company.
Approved May 5, 1887.
Whereas the general assembly of North Carolina by an act
entitled an act to declare the Chowan and Southern railroad
company a duly incorporated company, and to amend and
enlarge its charter, passed March seventh, eighteen hundred
and eighty- seven, ‘did among other things ‘enact that the
Chowan and Southern railroad compiuny, a corporation or-
ganized under the general laws, was, and was thereby declared
a body politie and corpor ate under the aforesaid name for the
purpose of constructing, maintaining, and operating a rail-
road in the said State, and did among other powers, ‘rant to
the said railroad company the right to extend the construe-
tion and maintenance of said railroad northwardly through
the county of Gates to any point on the Virginia State line,
and the said company desires to have the right to extend and
eontinue the construction and maintenance of its railroad so
as to reach deep water within this State; therefore,
1. Be it enacted by the general assembly of Virginia, That
the said Chowan and Southern railroad company and the per-
sons named therein as incorporators, to-wit: Joseph T. Tunis,
C. M. Serpell, W. W. Tunis, 8S. keeles, Junior, Theophilus
Tunis, and others, and such other persons as are now or that
may be hereafter associated with them as stockholders in said
company, and their successors, are hereby declared a body
politic and corporate in the State of Virginia, under the
aforesaid name of the Chowan and Southern railroad com-
pany for the purpose of constructing, maintaining, and opera-
ting a railroad within this State as hereinatter sect forth, and
by such name shall be a 1 corporation in Virginia, may sue and
be sued, plead and be impleaded; and shall have all the gene-
ral powers and be subject to all the general restrictions pro-
vided and prescribed by the laws of this commonwealth in
regard to such bodies politic and corporate.
2. The said company shall have the right to construct,
maintain, and operate a railroad cither of narrow gauge or of
the standard broad gauge trom any point on the boundary
Jine between this State and the State of North Carolina,
through the county of Nansemond to any point on the Nan-
semond river, with the right to cross the said river below
Shingle creck, and at any time hereafter to extend and con-
tinue the construction, and to maintain and operate the said
railroad to any point on cither side of the Elizabeth river,
and to cross the said river, and to that end the said company
shall have the right to acquire and hold such real estate as
may be necessary for its purposes as provided by the general
laws of this State.
3. The capital stock of the said company may be the same
as is prescribed by the act of the general assembly of North
Carolina hereinbefore referred to; it may be fixed by the
board of directors at any sum not less than fifty thousand
dollars, and may thereafter be increased from time to time to
such an amount as may be approved by the stockholders.
Meetings of the stockbolders may be held either in North
Carolina or in this State, but the company hereby incorpo-
rated shall always be and continue a Virginia corporation
subject to the jurisdiction of the courts of this commonwealth
as well as to its Jaws, and shall keep and maintain an office
within the State of Virginia.
4. The said company “shall have the r ight to borrow money
and to issue, make, negotiate, and sell its bonds, either cou-
pon or registered, in such sums and to such amount or
amounts as may be deemed necessar y for its purposes by the
directors of the said company, with the consent of it stock-
holders, and cause the same to he secured by one or more mort-
gages or deeds of trust, conveying the property, rights, and
franchises of the said. company to such trustee or trustees,
and upon such terms and conditions as may be deemed proper
by the board of directors of said company.
5. The said company shall have the right to construct
such wharves, piers, warchouses, and other structures as may
be necessary for its purposes, and shall have the right to
charge and collect tolls for the use of the same, and shall also
have the right to connect its railroad with any other railroad
chartered and organized under the laws of this State, and to
enter into any tr: attic or other arrangement with any other
such railroad for doing business over the line of such other
‘ailroad on such terms as may be agreed upon between the
directors of such other company and this company, subject
always to the general laws of this State.
6. The said company shall have the right to build or pur-
chase and own barges, steam tug- -boats, and other vessels
suitable tor carrying lumber, DAT CRA, produce, goods,
and wares as well as passengers, and may run and operate
the same in connection with the said railroad.
7. This company shall always pay its taxes in lawful
money of the United States and not In coupons, and this act
shall be always subject to amendment, modification, or repeal
at the pleasure of the general assembly.
8. This act shall be in force from its passage
