Chap. 492.—An ACT to incorporate the Building Association of
American Lodge No. 1789, Grand United Order of Odd-Fellows of
the city of Richmond. .
Approved March 5, 1888.
1. Be it enacted by the general assembly of Virginia, That «
William J. Johnson, David J. Shavers, Allen J. Harris, Joseph
E., Audley, Benjamin J. Franklin, A. Walker, junior, J.
Andrew Bowles, Henry B. Burwell, J. Scott, A. Dodson, and
John MW. Jones, together with such other persons of the mem-
bers of the American lodge number one thousand seven hun-
dred and eighty-nine, Grand United Order of Odd-Fellows,
be and they are hereby constituted a body politic and cor-
porate, by the name and style of the American Lodge Build- |
ing Association of Virginia, and by that name and style are
hereby invested with all the rights and privileges conferred
on associations of this character, with privilege of suing and
being sued, impleading and being impleaded.
2. The capital stock of said corporation shall not be less |
than ten thousand dollars, divided in shares of teu dollars
each, which may be increased trom time to time to a sum not
exceeding twenty thousand dollars. The said association
shall be ‘loeutenl in the city of Richmond, state of Virginia,
The officers of said association shall consist of a board of
directors, a president, a vice-president, a secretary and treas-
urer, and such other officers as may be necessary to conduct
the business of the same. The following names stated in the
first part of this bill shall constitute the board of directors
for the first year, and shall continuo in office until the first
annual meeting of the stockholders, and at such first annual
meeting of the stockholders the board of directors shall be
elected, who may be removed in general meeting by the
stockholders, and paless 90, removed, shall remain,in,.cffice
until their successors are elected and qualified. The day for
the annual meeting of the stockholders shall be the second
Monday in January, commencing January, eighteen hundred
and eighty-nine, and the number of directors may be pre-
scribed by the by-laws: provided, that the number shall not
be less than thirteen. The by-laws may also prescribe for
general and called meetings, and adjourn from time to time.
3. The board of directors shall elect from their own num-
ber a president, vice-president, secretary, and treasurer, and
may fill any vacancy occurring in the board, unless it be by
removal, in which case the members may fill the same in
general meeting. Each member shall be entitled to one vote
to each share of stock held by him. The said board shall
appoint, to hold during its pleasure, the officers of said asso-
ciation, prescribe their compensation, and take from them
such bonds as they may see fit that will safely secure the
funds ot said association from any loss. The said association
shall sell the stock of the association to the members of the
American lodge number seventeen hundred and eighty-nine
exclusively, and receive money in payment of same, which
par value shall be ten dollars, and shall grant a certificate for
the same signed by the secretary and countersigned by the
president. The stock held by the members shall be as any
other lawful security, which privilege they shall have to dis-
pose of said paid up stock to any member of the said Ameri-
can lodge, but the association shall have preference in the
purchase or redemption of said stock.
4. The object of this association is to raise money by the
sale of shares to pay off the obligations of the American lodge
number seventeen hundred and eighty-nine, created by erect-
ing a hall for the meeting of Odd-Fellows lodges and other
benevolent societies in the city of Richmond.
5. All acts and parts of acts inconsistent with this act are
hereby repealed.
6. This act shall be in force from its passage.
