Chap. 372.—An ACT to incorporate the Ivanwold hotel and ferry
company.

1. Be it enacted by the general assembly of Virginia, That
Abram F. Barker, Jonathan H. Gray, Jefferson Chandler,
Henry P. Gilbert, James E. Clements, Henry W. Newby,
Thomas H. Sypherd, Frank Hume, Robert G. Lacey, W. C.
Wibert, Eppa Hunter, and their associates, successors and
assigns, be and they are hereby created and constituted a
body politic and corporate, by the name and style of the
,Ivanwold hotel and ferry company, and by that name and
style shall be known in law, and shall have perpetual succes-
sion, and have power to sue and be sued, plead and be im-
pleaded in all courts, whether of law or equity; make, adopt
and use a common seal, and alter and renew the same at
, pleasure, and shall have, enjoy, and exercise all the rights,
powers, privileges, and authorities, which by law pertain to
corporate bodies, and necessary for the purposes of this act;
and may make, alter, and amend at its pleasure, by-laws,
rules, and regulations for the management of its estates and
properties, the issue, registry, and transfer of its stock, the
due and orderly conduct of its officers, agents, and servants,
not inconsistent with the law of this state, or of the United
States. The said company shall have power to erect and
maintain a hotel in Alexandria county, in the state of Vir-
ginia, on the sub-division of land known as Ivanwold, for-
merly called the Jewell estate, and near the Potomac river,
for the accommodation of the public generally, and to equip
the same with all modern appliances, including lighting the
same with electricity or gas; and for the purpose of doing
and performing all such acts, matters and things as may be
necessary to accomplish the object of this charter; and said
company is also authorized and empowered to establish,
maintain, and operate a ferry, in connection with said hotel,
to be operated by steam, electricity, or other motive power,
and to own and use boats, other than ferry boats, for the pur- |
pose of carrying. passengers, guests, and freight from and to |
points on the Potomac river and elsewhere, and to collect
fare therefor: provided, that the ferrying privileges herein
granted, shall not extend below the Long Bridge, on said
river; and said company shall have power to build, purchase,
or lease suitable boats, and all necessary outfit therefor, and
to build, lease, and own wharves and landing places for said
ferry purposes, and said boats, and generally to make the
necessary rules and regulations to govern said ferry and fer-
riage, and the business of this company. The principal office |
of said company shall be located in Alexandria county, in
the state of Virginia, but the board of directors shall have
authority to establish an office in the District of Columbia.
The capital stock of said company shall not be less than fifty «
thousand dollars, which may be increased by the stockholders
tothe sum of two hundred and fifty thousand dollars, to be
divided into shares of twenty dollars each. The said com-
pany shall have power to purchase a suitable lot of ground,
not to exceed ten acres, in Alexandria county, a portion of
said Ivanwold sub-division, and to erect a suitable hotel build-
ing or buildings thereon, for the use of said company in car-
rying out its purposes; but no steps shall be taken towards
the erection of said building or buildings herein provided for,
until two thousand shares of the capital stock are subscribed
for, and ten per centum of the amount of stock taken shall
have been paid in. The management of this company shall
be in a board of directors of seven persons, all of whom shall
be stockholders, to be elected by ballot, at a meeting to be
held on the first Monday of April, in the year eighteen hun-
dred and eighty-eight, pursuant to an advertisement by the
corporators, or a majority of them of this corporation, pub- |
lished in at least one newspaper printed and published either
in the city of Alexandria or in Washington, District of Co-
lumbia, and otherwise, as they shall think right and proper,
giving at least two weeks’ notice of the time, place, and pur-
pose of said meeting, and in like manner on the said first
Monday of April of each and every year thereafter. Said
directors shall hold their said office for one year from the
date of their said election, and until their successors shall
have been elected and accepted said office. The said board
of directors shall annually elect one of their number presi-
dent of this corporation, and shall also annually elect a sec-
retary and treasurer, either from among their own members
or from the stockholders of this corporation at large; and it
is provided that before a stockholder shall be eligible to the
office of director, he shall own at least fifty shares of stock
in said company. The board of directors shall have full
power to fill all vacancies in their own body, and in the offices
of secretary and treasurer; to appoint all necessary officers
and agents, and to fix their duties and compensation. At all
meetings of the stockholders of this corporation, each stock-
holder shall have one vote for each share of stock held and
owned by him or her. No stockholder in this company shall
ever be held liable or made responsible for its debts or liabili-
ties in a larger or further sum than the unpaid balance due
to the said company for stock subscribed for by him or her.
The directors of this company, who shall manage its affairs
and concerns until the election of directors to be held on the
first Monday of April, in the year eighteen hundred and
eighty-eight, shall be Abram F. Barker, Jonathan H. Gray,
Jefferson Chandler, Henry P. Gilbert, James E. Clements,
and Eppa Hunton, who at their first meeting, may elect a
president and other necessary officers. By accepting this
charter, the said company agrees to pay all taxes and dues
to the state, in gold or legal currency of the United States.
2. This act shall be in force from its passage.
