Chap. 314.—An ACT to incorporate the Richmond and Eltham rail-
rnad and navicatinn ePamnany

Tinsley, their associates, successors, and assigns, be and they
are hereby incorporated and made a body politic and cor-
porate under the name and style of the Richmond and Eltham
railroad and navigation company, for the purpose of construc-
ting, equipping, and operating railroads and transporting
freight and passengers on the Chesapeake bay and its tribu-
taries, and as such are authorized and empowered to locate,
construct, equip, and operate a railroad commencing at the
city of Richmond, and anit thence to the tract of land
known as Eltham, in New Kent county, Virginia, on the
Pamunkey river, by such route as a majority of its stock-
holders may determine; and as such are authorized to estab-
lish, locate, equip, and operate a ferry or ferries by means of
steamboats from any point on the New Kent shore of the
Pamunkey river at Eltham, across the said Pamunkey river
to the town of West Point, and thence across the Mattaponi
to the county of King and Queen, to such point as a majority
of its stockholders may determine, and a ferry from the said
New Kent shore of the Pamunkey river to the said King
and Queen shore of the Mattaponi river, and as such cor-
poration are authorized to build such wharves on the said
shores of the Mattaponi and Pamunkey rivers as may be
necessary for the purposes of their business as such corpora-
tion: provided, that the landing of said ferry or ferries on
the West Point shore of the Mattaponi river shall be ata
point not below the foot of the street now known as Ninth
street: and provided further, that the landing of said ferry
or ferries on the King and Queen shore of the Mattaponi
river shall be at least one-half a mile distant from the present
ferry landing at Brook’s barn.
2. The said company shall have perpetual succession, and
have power to sue and be sued, plead and be impleaded, de-
fend and be defended in all courts, whether in law or in
equity, and may make and have a common seal, and alter or
renew the same at pleasure, and shall have, possess, and
enjoy all the rights and privileges of a corporation or body
politic in the law, and necessary for the purposes of this act.
3. The capital stock of the said company shall not be less
than five thousand dollars, and may from time to time be
increased to any amount not exceeding five millions of dol-
lars, by issue and sale of shares, under such regulations as
the board of directors of said company shall prescribe, the
ar value of which shall not be. less than one hundred dol-
ars; and subscriptions to the capital stock of said company
may be made in money, labor, material, bonds, stock, real
estate or personal property, at such valuation as may be
agreed upon between the directors and the subscribers, and
such subscriptions may be made payable in such manner and
amounts and at such times as may be agreed upon with the
subscribers, and whenever fifty shares shall have been sub-
scribed to, the subscribers under the direction of any five of
the incorporators hereinbefore named, who, themselves, shall

holders’ annual meeting, to be held on such day as the by-
laws of the company may direct, and shall continue in office
for the term of one year from and after the date of their
election, and until their successors are elected and accept the
duties of the office, and they shall appoint one of their num-
ber president. And in case of the death, resignation, or
incapacity of any member of the board of directors during
his term of office, the said board shail elect his successor for
the unexpired term.
10.° All taxes and dues to the commonwealth by said com-
pany, shall be paid in lawful money of the United States, and
not incoupons. And this charter may be altered or amended
upon the application of the board of directors of said com-
any.
