Chap. 268.—An ACT to amend and re-enact section 2871 of an act
entitled an act to revise, arrange, and consolidate into a Code the
general statutes of the commonwealth, in relation to special partner-
ships.
Approved February 29, 1888.
1. Be it enacted by the general assembly of Virginia, That.
section twenty-eight hundred and seventy-one of the act enti-
tled an act to revise, arrange, and consolidate into a Code the
general statutes of the commonwealth, approved May the
sixteenth, eighteen hundred and eighty-seven, be amended
and re-enacted so that this section shall read as follows:
§ 2871. The names of the general partners of such part-
nership and of the special partners shall appear conspicu-
ously upon the front of the place or places of business of said
partnership; but the business of the partnership may be con-
ducted under any firm name that the partners may choose to
adopt, so that the names of the special partners do not appear
therein. The general partners only shall be authorized to.
make a contract (with others than partners) respecting the
concerns of the partnership, or to transact its business. If
such partnership fail to comply with the preceding provisions
of this section, or if the name of any special partner be used |
with his privity in connection with any firm contract, or if
he transact business for the partnership, as agent or other-
wise, he shall be liable as general partner. But this section
shall not prevent him from examining into the state of the
business, and advising as to its management.
2. This act-shall be in force upon and after May first, eigh-
teen hundred and eighty-eight.
