Chap. 237.—An ACT to incorporate the Alexandria Gentlemen’s driv-
ing club.
Approved February 24, 1888.
1. Be it enacted by the general assembly of Virginia, That
George A. Mushback, George Uhler, Henry Smoot, M. B.
Harlow, Reverdy J. Dangerfield, William B. Dangerfield,
Park Agnew, V. W. Power, William H. Smith, Magnus
Schuyler, Henry Green, Charles A. Shangemann, and Richard
S. Windsor, and such other persons as may be associated with
them, be and they are hereby incorporated and made a body
, politic and corporate under the name and style of the Alex-
andria Gentlemen’s driving club for the purpose of establish-
ing a driving park and race course in the county of Alexan-
dria for pleasure riding and driving, racing and other enter-
tainments; and the said corporation shall have power to acquire
by purchase, lease, or otherwise, so much land as may be
deemed necessary for its purposes; to lease and let booths,
stables, and other privileges on the premises, and to appoint
police officers for their said driving park and race course, with
power to make arrests, in preserving the peace and good
order; may sue and be sued, plead and be impleaded, contract
and be contracted with, and have perpetual succession, to
have, make, and use a common seal, and the same to destroy,
alter, or renew at pleasure; to ordain and establish such by-
laws, ordinances, and regulations for the furtherance of the
purposes of said corporation as may be wise and proper, by
vote of stockholders of said corporation as hereinafter pro-
vided, and generally to do every act and thing necessary to
carry into effect this act and promote the object and design
of this corporation.

2. The capital stock of said company shall not be less than
one thousand dollars nor more than twenty thousand dollars,
to be divided into shares of twenty-five dollars each; books
of subscription to be opened by any three of the incorpora-
tors or such other persons as they may appoint, at such time
and place and upon such notice as they may direct for receiv-
ing subscriptions to the capital stock, and when the minimum
stock is subscribed, and two dollars per share paid thereon,
the said stockholders shall proceed to organize the corpora-
tion as provided by law. Each stockholder shall be entitled
to one vote for each share of stock held by him, and such
constitution as shali be adopted by a two-thirds vote of the
stockholders of said corporation shall be held and deemed to
be the constitution of said corporation, and shall not be altered
or amended except as may be therein provided.
3. Said corporation shall have all the rights and privileges
conferred, and be subject to all the provisions of chapters
fifty-six, fifty-seven, and sixty-one of the Code of eighteen
hundred and seventy-three, so far as the same may be appli-
cable to and are not inconsistent with the provisions of this
act.
4. The said corporation shall pay all of its taxes in lawful
money of the United States.
5. This act shall be in force from its passage.
