Chap. 116.—An ACT to incorporate the Bee.
Approved February 8, 1888.
1, Be it enacted by the general assembly of Virginia, That
P. W. Sutherlin, 8S. A. Moorman, J. D. Meadors, George D.
Gravely, 8. C. Adams, H. D. Shepherd, M. D. Holland, P. C.
Keesee, J. R. Chaney, E. W. Robey, F. M. Hamlin, J. E.
Schoolfield, F. X. Burton, James Wood, junior, J. A. Patton,
T. J. Talbott and William D. Coleman, with such other per-
sons a8 they shall associate with themselves, and their suc-
cessors, be and are hereby constituted and declared a company
and body politic and corporate under the name and style of
the Bee, and by that name shall have all the powers, rights |
and privileges conferred on chartered companies and corpora-
tions generally, and be subject to all the restrictions imposed
on the same by the laws of this commonwealth so far as said
laws are consistent with this act.
2. The capital stock of said company shall be one thousand |
dollars, divided into shares of twenty-five dollars each, which
may be increased at the option of said company to any amount
not exceeding one hundred thousand dollars, and each share
shall entitle its holder to one vote in all meetings of the
stockholders.
3. At any time after the enactment of this charter, the:
corporators, or any of them, may take such measures as the
may deem proper to obtain subscriptions to the capital stoc.
of said company, and call a general meeting of the stock-
holders.
4, As soon as the said capital stock shall have been sub.
scribed and ten per centum thereof paid in money, the stock- '
holders shall be called together in general meeting and elect
a president, such directors and other officers, adopt such by-
laws and take such measures generally for the government of
the said company and the conduct of its business as they may
deem proper, and are not in conflict with the laws of this
commonwealth or of the United States; and thereupon the
said company shall be deemed to be lawfully organized and
authorized to commence business.
5. The said company may carry on a newspaper and gen-
eral printing and publishing business, manufacture, buy, sell,
and deal generally in books, newspapers, periodicals, station-
ery, paper of all kinds, printers’ materials, type, printing
presses and printing machinery generally; and for that pur-
pose may purchase, erect, lease, rent and hold, exchange or
re-sell such buildings, motive power and other property, real
or personal, as it may deem necessary.
6. The principal office of the said company shall be at Dan-
ville or such other place in this state as it may deem most
eligible, and it may establish branch offices and agencies else-
where.
7. All taxes due by this corporation shall be paid in money
and not in coupons.
8. This act shall be in force from its passage.
