CHAP. 254.—An ACT to amend and re-enact sections 2, 4, 6 and 7,
of an act entitled an act to incorporate the West Rockingham Mu-
tual Fire Insurance Company, in force March 22, 1872.
Approved February 26, 1886.
1. Be it enacted by the general assembly of Virginia, That
sections two, four, six and seven, of an act to incorporate the
West Rockingham mutual fire insurance company, in force
March twenty-second, eighteen hundred and seventy-two, be
amended and re-enacted, so as to read as follows:
§ 2. To make insurance upon dwelling-houses, barns, mills,
and other buildings, and upon any personal property hereafter
provided for, on the mutual plan, and in the manner, and upon
the terms and conditions prescribed in the constitution and by-
laws, against loss or damage by fire or lightning.
§4. There shall be an annual meeting of the company, at
such time and place as the directors may appoint, for the elec-
tion of nine directors by the company. The said directors so
elected shall elect a president, and a secretary and treasurer,
from among their number; and the said president, secretary
and treasurer, and directors, shall continue in office until their
successors are duly elected. The president, and the secretary
and treasurer, shall both be ex-officio directors of the company;
and the president, the secretary.and treasurer, and seven di-
rectors, shall be styled the board of directors, five of whom
shall constitute a quorum for any and all business purposes of
said company: provided, that the board of directors may order
that the president, and the secretary and treasurer, or either of
them, and any other director acting with him, shall constitute
an executive committee, whose duty it shall be to attend to such
matters as may be committed to them in the intervals of the
meetings of the board, and whose acts shall be reported at the
next meeting of the board of directors. In case of a vacancy
in the office of president, secretary and treasurer, or director,
from any cause, the remaining members of the board may elect
another to supply the place until the next annual meeting of
the company. At any meeting of said company, fifty members
in person, or represented by proxy, shall constitute a quorum
for the transaction of business at such meeting: provided, that
at the annual meeting of the company for the election of direc-
tors, a majority of the members thereof, in person or repre-
sented by proxy, shall constitute a quorum for such election.
In all meetings of said company, each member shall be entitled
to one vote for the first one thousand dollars, or fractional part
thereof, of the amount in which the property of such member
is insured, and one vote for every additional one thousand dol-
lars of such amount: provided, that no member shall be al-
lowed a vote for any fractional part above the first one thou-
sand dollars.
$6. The members of the company shall not be liable for
any loss, damage, or responsibility, other than that each mem-
ber shall be bound to contribute to the necessary expenses of
the company in proportion to the amount of the appraisec
cash value of his property insured, and shall be bound ‘to pay
in the same proportion, to the proper officer of the company.

§ 7. Whenever a loss is sustained by a fellow-member, the
president shall immediately convene the board of directors
who, upon proper and full proof of such loss, shall thereupor
assess pro rata sums upon all the members of said company a:
is necessary to pay all such loss, and collect from each membe:
at such time and in such proportion as it may be called for by
said board of directors; and if any member shall fail to pay
the sum so called for, it may be recovered, with such fine a:
the company may in their regulations agree to impose, anc
with necessary costs, by suit before a justice of the peace o:
any court of record *having jurisdiction.
2. All parts of the act to incorporate the West Rockinghan
mutual fire insurance company, in force March twenty-second
eighteen hundred and seventy-two, inconsistent with this act
are hereby repealed.
3. This act shall be in force at and from Saturday, Jun:
fifth, eighteen hundred and eighty-six.
