Chap. 128.—An ACT to incorporate the Virginia Conference Semi-
nary, of the city of Roanoke.
Approved November 27, 1884.
1. Be it enacted by the general assembly of Virginia, That
Bishop J. W. Wiley, Bishop J. M. Walden, Reverend R. S.
Rust, Reverend BE. H. Vaughan, Reverend 8S. H. Ball, Rever-
end T. C. Carter, Reverend G. P. Wauless, Reverend J. J.
Rumburg, Reverend A. J. Porter, Reverend G. H. Thomson,
A. H. Flanagan, John C. Ballard, William L. Williamson, J.
H. Dunstan, L. P. Fiery, and 8. M. Fiery, be and are hereby
constituted trustees of the Virginia Conference seminary, of
the city of Roanoke, Virginia, under the control of the Vir-
ginia Conference of the Methodist Episcopal Church, who,
and their successors, shall be chosen as herein specified, and
shall be a body corporate, under the name of the Virginia
Conference Seminary, of the city of Roanoke. Said trustees
to have a perpetual succession and a common seal, may sue
and be sued, plead and be impleaded, may take, receive and
hold by purchase, devise, transfer or gift, lands, rents, goods
and chattels, for the benetit of said Virginia Conference Semi-
nary, to an aggregate value not exceeding five hundred thou-
sand dollars, with ‘full power to manage, use, sell, rent, or
otherwise dispose of the same, as to them may seem best for
the interest of the said Virginia Conference seminary, and
for the advancement of piety and learning: provided, that no
sale or encumbrance, whether by mortgage, deed or other-
wise, of any real estate belonging to said institution, shall be
authorized or made, nor shall any trustee be removed from
office unless at least nine of the trustees are present and con-
curring therein.
2. The said trustees to hold office for two, four, six and
eight years. The office of four expiring at the end of every
two years; their successors to be.elected by the trustees, sub-
ject to the approval of the Virginia annual-conference of the
Methodist Episcopal church, and to fill any vacancy in their
own body, either from resignation, death or removal. Said
trustees shall have power to appoint and remove officers of
their own body, and appoint a faculty of instruction for said
institution, subject to the approval of the aforesaid Virginia
conference, regulate all fees and salaries, and make from time
to time, such regulations as they may deem proper and not
contrary to the laws of the state, and hold such meetings as
they prescribe. Said trustees shall elect a treasurer, who
shall give bond in such penalty, and in such security as they
shall require, payable to the Virginia conference seminary of
the city of Roanoke, Virginia, conditioned upon the faithful
performance of the duties of his office, and on failure so to do,
said treasurer, his surety or sureties, his or their executors or
administrators may be proceeded against. The said trustees
in connection with the faculty of said institution, shall have
power to confer such certificates, diplomas, and literary titles
as they may think best calculated to promote the cause of
education. In the event of the final abandonment of said
institution as a seat of learning, and the sale of its property,
the proceeds shall be at the disposal of the said trustees and
their successors, and shall be appropriated by them under
the supervision of the Virginia conference of the Methodist
Episcopal church, as in their estimation shall best promote
the interest of piety and education.
3. This act shall be in force from its passage.
