Chap. 59.—An ACT to incorporate The James River Valley Agricul-
tural Fair of Scottsville, Virginia.
In force January 28, 1884,
1. Be it enacted by the general assembly of Virginia, That

Oliver, C. B. Gallup, L.. H. Gates, Camm Patteson, W. M.
Perkins, Thomas S. Martin, G. W. Gilmer, Price P. Gantt, J.
T. Morris, R. B. Moon, V. B. Jefferies, James M. Jefteries, W.

C. B. Harris, or such of them as accept the provisions of this
charter, and their associates and successors, be and they are
hereby constituted and made a bod corporate and politic, by
the name and style of The James River Valley Agricultural
Fair of Scottsville, Virginia, and by that name and ‘style shall
have all of the rights, powers, and privileges conferred by,
and be subject to ail of the provisions of charters fifty-six and
fifty-seven of the Virginia Code of eighteen hundred and
seventy-three, so far as applicable to, and not inconsistent
with the provisions of this act.
2. The capital stock of said company shall not be less than
one nor more than twenty thousand dollars, and shall be
divided into shares of twenty-five dollars each.
3. Such of the corporators hereinbefore named, as accept
the provisions of this charter, shall subscribe at the least, for
the said minimum amount of capital stock, which shall be
paid for by them, respectively, in such shares and proportions
as they may agree upon.
4. No stockholder shall be under any liability, except to
pay to the company, the par value of the stock subscribed tor
by bim.
5. The board of directors shall consist of nine members,
who shall, from their number, choose a president, but the
sto -kholders, at any gencral meeting, shall have the power to
increase the number of directors.
6. The stockholders in general meeting, may from time to
time increase the capital stock, until the said maximum is
reached, and for that purpose may cause shares of stock to
be issued and sold on such terme as to them seem proper: pro-
vided no stock shall be sold by the company at less than par
value.
7. The stockholders, in general meeting, shall have the
power to make all such by-laws, rules and regulations, and
provide all such officers and agents as to them may seem pro-
per for the government of their body and the management
of he affairs.
8. The corporators accepting the provisions of this charter,
shall meet in the town of Scottsville on the day of
, eighteen hundred and cighty-four. for the pur-
pose of organizing the company, the election of directors to
serve till the first ‘regular annual meeting of stockholders, and
for veneral business.
9. The annual meetings of the stockholders shall be beld in
the said town of Scottsville, on the third Monday in July in
each year, or at such other time as the stockholders in gen-
eral meeting may appoint, and in all meetings of the stock-
holders, one vote may be cast, in person or by proxy, for each
share of stock by the holder thereof.
10. The purposes of said corporation shall be to hold fairs
at stated times in or near the town of Scottsville, in the county
of Albemarle, for the promotion of the material interests and
social enjoyment of the agricultural and industrial classes of
the people by the exhibition, sale and interchange of agricul-
tural, mechanical and domestic products, live stock, works ot
art, minerals, and other commodities; by exhibition of all
lawful sports and amusements, and by the award of premiums
for excellence of quality in articles exhibited, and for the
speed of horses.
11. And to enable the said corporation to carry out the
purposes aforesaid, it shall have the power to charge for the
admissions of persons and property to its grounds, to charge
entrance tees to exhibitors of property, to sell special privi-
leges on its grounds at its fairs, and to own and dispose of
property, real and person4l, in all respects as a natural per-
son: proviled that it shall not, at any one time, own more
than one hundred acres of land.
12. This act shall be in force from the date of its passage.
