Chap. 457.—An ACT to incorporate the Lewis Spring Manufacturing
and Supply Company.
Approved March 17, 1884.
1. Beit enacted by the general assembly of Virginia, That
A. P. Grice, George H. Ward, W. W. Chamberlaine, George
W. Lewis, R. L. Herbert and R. C. Marshall, all of the state
of Virginia, and such other persons as they may associate
with them hereafter, be and they are hereby created and incor-
porated a body, politic and corporate, under the name and
style of The Lewis Spring Manufacturing and Supply Com-
pany, and by that name shall have perpetual succession, and
may have a common seal, which they may alter or renew at
pleasure; may sue and be sued, plead and be impleaded, con-
tract and be contracted with, and make such ordinances, by-
laws and regulations as they may deem necessary for the
proper conduct of their business: provided that such ordin-
ances, by-laws and regulations be not inconsistent with the
laws of thiy commonwe: uth, or of the United States.
2, The said company shall have power to purchase and
hold real estatein Norfolk county, or the city of Portsmouth,
or both, not exceeding five acres; to construct suitable works,
buildings, and machinery for the manufacture of all railro ad
and steamboat supplies, ‘and machinery or parts of such ma-
chinery; to manutacture or cause to be manufactured the
same, and when so manufactured, to sell the same on such
terms and conditions as may be agreed upon; to purchase
and dispose of, or sell patent riehts, Of railroad and steamboat
machinery and supplies. and in the purchase of such patent
rights, to issue stock of said company in payment thereof.
3. The capital stock of said company shall not be less than
ten thousand dollars, nor more than two hundred thousand
dollars, to be divided in shares of one hundred dollars each;
books of subscription may be opened by any three of the
persons hereinbetore named, at such times and places as they
may designate.
4, Kacbh and every share of stock shall entitle the owner
thereof to one vote thereon, in person or by proxy.
9. The principal office of said company shall be in the city
of Portsmouth, or Nortolk county atljacent thereto, and the
said company shall be invested with all the powers conferred,
and subject to all the provisions prescribed by chapters tifty-
six and fifty-seven of the Code of Virginia, except so far as
this act may otherwise prescribe.
6. This act shall be in force from its passage.
