Chap. 277.—An ACT to incorporate the Union Auxiliary Club ot
Norfolk.
Approved March 4, 1884.
1. Be it enacted by the general assembly of Virginia, That
C. F. Streets, Willis Haynes, Edward Roberson, Geor ge W.
Martain, Edward Roberts, John Wilson, Herbert Martain,
James Freeman, and Harrison Jones, and such other persons
as are now or who may hereafter be associated with them,
be, and they are hereby incorporated and made a body corpo-
rate and politic, by the name and style of the Union Auxiliary
Club, and by such name and style shall have the right to sue
and be sued, to plead and be impleaded in all the courts of
this state, and shall have all other rights and powers, and be
subject to all the restrictions applicable to corporations under
the general laws of this state. The object of said corpora-
tion is to promote a social spirit among its members, and
they may meet monthly or oftener for amusement, as its
members may think proper.
2. The officers of this club shall be a president, two vice-
presidents, a secretary, treasurer, and a board of nine direc-
tors, all of whom shall be elected annually by ballot by the
members of said club. The duties of the said president shall
be to preside at all meetings of the club and preserve order,
and see to a proper execution of ‘the laws, rules, and regula-
tions of the club. Either of the vice- presidents may pre-
side in the absence of the president, and exercise the same
authority as the president for the time being.
3. The directors shall have control of the affairs of the
club, shall keep its property, appoint the servants and agents
of the club, propose rules for its government, see that the
dues and fines are properly collected, that the treasurer gives
a good and sufficient bond, with good surety or sureties, for
the faithful performance of duty, and, in short, do all matters
and things which they deem promotive of the interest of this
club and not prohibited by its rules or the laws of this state.
4. Each member shall be required to pay five dollars as an
initiation fee, and such a sum in the form of dues, as may be
fixed by the directors, not to exceed twelve dollars per
annum, and such sums for additional assessments as they
may deem proper, not to exceed three dollars per year.
These sums shall constitute the capital stock of said club,
except that they may hold in the city of Norfolk real estate
not exceeding one acre, with the improvements thereon.
5. The board of directors shall have power, with the con-
sent of the club, to make such by-laws and rules as they may
think wise and proper for assessing and collecting dues, fines,
and assessments, and for the government of the club. Two-
thirds of the members may expel a member tor misbehavior,
improper and ungentlemanly conduct, non-payment of dues,
and so forth.
6. The members of this club shall be made up of such per-
sons as the incorporators herein named, and their associates,
may deem proper.
7. The members of this club shall make all such regula-
tions for its management or government as they may think
proper and right, not contrary to this charter and the laws
of this state.
8. This act shall be in force from its passage.
