Chap. 229.—An ACT to incorporate the Virginia Normal School,
Rockingham county, Virginia.

1. Be it enacted by the general assembly of Virginia, That
Jacob Thomas, Danicl Baker, Levi Garber, John A. Cline, S.
A. Shaver, Benjamin Miller, Daniel Hays, Levi A. Wenger, 5.
H. Myers, BE. B. Shaver, Emanuel Hoover, Ifamilton Varner,
John J. Bowman, Jacob Myers, Samuel Petry, Samuel A.
Sanger, John Flory, Samuel Driver, Samuel J. Garber, E. L.
Brower, E. D. Kendig, Samuel A. Driver, Daniel Yount, Wal-
ter B. Yount, Jobn W. Click, D. T. Click, Joseph A. Miller,
Samuel F. Miller, P. 8S. Miller, D. C. Moorman, William Nin-
inger, H. M. Garst, William H. Franklin, B. F. Moorman, J.C.
Moorman, Joseph Click, Noah Beery, Andrew Miller, Daniel
Garber, and B. C. Moorman, be and they are hereby consti-
tuted a body politic and corporate, in the name and style of
the Virginia Normal School; and by that name shall have
perpetual succession and a common seal, sue and be sued,
plead and be impleaded, purchase, receive, possess, hold, and
sell and dispose of any property, real and personal, for the
use and benefit of said institution, and under their common
seal make and establish, from time to time, such rules and
by-laws not contrary to the laws of Virginia, as by them shall
be thought essential and necessary to the good order and
covernment of said institution and the government of the
officers, professors, masters, and students thereof.
2. The officers of said institution shall consist of a presi-
dent, vice-president, secretary, treasurer, and a board of direc-
tors; and such agents and assistants as may be deemed neces-
sary by the board of directors.
3. The said president, vice-president, secretary, treasurer,
and board of directors shall be elected by the said trustees
and their successors, and a majority of the trustees of said
institution shall at any time constitute a quorum to do busi-
ness, unless or when otherwise provided by the by-laws of
said ‘institution; and for the purpose of electing such officers
and board of directors, and for the transaction of any other
business pertaining to said institution that may devolve upon
them, the said trustees shall annually hold a meeting at the
said institution on the first Monday in September in each
year, or such other time as may be designated by the by-laws
of said institution.
4, All other officers, agents, or assistants of such institu-
tion, may be appointed by the president and board of direc-
tors ‘thereof, as and when the necessity for their services may
arise.
5. The powers, duties, obligations, bons, and so forth, of
the said president, vice-president, secretary, treasurer, and
board of directors, may be defined and designated by the by-
laws and rules and regulations of the said institution.
6. All vacancies occurring in the forty trustees aforesaid,
by resignation, death or otherwise, may be filled by appoint-
ment by the president and board of directors of said institu-
tion, at any of its regular annual meetings; and the time of
its mectings, whether annual or special, may also be desig-
nated and regulated by said by-laws.
7. The originators and friends of said institution, having
already purchased, received, and acquired real and personal
property for its use and benefit and received conveyances,
gifts, transfers, and subscriptions of money and property to
themselves, in the name of the Virginia normal school, and
in the same name made contracts, received contributions,
built houses, appointed officers, professors, teachers, agents,
and so forth, and have put said achool or institution into ope-
ration, it is further enacted that full and complete force and
validity be and hereby is imparted and given to the said deeds,
grants, gifts, subscriptions, contributions, transfers, and con-
veyances; and that the said trustees shall hold and control
the same as effectually as if this charter or act of incorpora-
tion had been made, granted, or enacted previously to the
date of such deeds, crants, gifts, subscriptions, contributions,
transfers, and conveyances; “and that in like manner full and
complete validity is given to the contracts and appointments
and other acts aforesaid.
8. And all rights, powers, privileges, exemptions and immu-
nities secured by the laws of Virginia to like colleges or insti-
tutions, are also hereby granted to the said nor mal school of
Virginia hereby incorporated, subject in all respects to the
laws of Virginia in such case made and provided.
9. This act shall be in force from its passage.
