Chap. 124.—An ACT to incorporate Scottsville Wollen Manufacturing
Company.
Approved February 14, 1882.
1. Be it enacted by the general assembly, That Isaac KR.
Barksdale, Henry Gautt, Jobn L. Dawson, William Branch.
J. C. Hill, J. L. Moon, C. B. Harris, John H. Worsham
Thomas S. Martin, William Durrin, S. R. Gautt, R. L. Good-
man, T. P. Tutwiler, Charles McDougal, and their associate:
and successors. shall be, and are hereby incorporated and
made a body politic and corporate, under the name and style
of the Scottsville woolen manufacturing company; the busi.
ness of the said corporation to be the manufacture, purchase
and sale of woolen, cotton, silk and other fabrics, and such
other articles or things as may be necessary and proper i!
the management and conduct of said business. The capita
stock of the said corporation to be not less than twenty-five
thousand dollars nor more than seventy-five thousand dol
lars, divided into shares of fifty dollars each. The said cor
poration to purchase and hold such real estate as may lb
necessary for the proper conducting of its business, no
exceeding in value ten thousand dollars. The principal plac
of business to be located in the county of Albemarle and thi
town of Scottsville, with the right to establish an agent o
respects to the regulations prescribed by the general election
laws of this state, except that the certificate of the judges
in this respect shall be as follows: “ We hereby certify that
at the election held on the —— day of May, eighteen hun-
dred and eighty-two, —— votes were cast for the bridge,
and votes were cast against the bridge.”
4. If sixty per centum of the votes cast at said election,
shall be in favor of this act, it shall thereby be in force.
5. This act shall be in force from its passage.
Chap. 124.—An ACT to incorporate the Alexandria ferry company.
Approved April 22, 1882.
1. Be it enacted by the general assembly, That Edward 8.
Leadbetter, Henry Strauss, W. W. Herbert, Isaac Eichburg,
and John B. Smoot, and their associates and successors, are
hereby created and constituted a body politic and corporate,
by the name and style of the Alexandria Ferry Company,
for the purpose of establishing and operating a steam ferry
across the Potomac river from Alexandria, Virginia, to a
point in the state of Maryland or District of Columbia, oppo-
site Alexandria; and by that name and style shall have per-
petual succession; may sue and be sued, contract and be con-
tracted with, plead and be impleaded, have a common seal,
and change the same at pleasure; and shall have all the rights
and privileges of a corporation, and be subject to all the
rules, regulations, and restrictions imposed by the Code of
Virginia relating to joint stock companies, so far as they are
applicable to and not inconsistant with the provisions of this
act.
2. The capital stock of said company shall not be less than
fifteen hundred dollars, nor more than five thousand dollars,
divided into shares of ten dollars each, and the capital stock
shall be considered personal property, and shall be transfera-
ble as may be provided for by the by-laws; and each share
shall entitle the holder thereof to one vote in all of the meet-
ings of the stockholders, to be given in person or by proxy;
and for the purpose of obtaining subscriptions to said capital
stock the said corporators may receive subscriptions to said
stock in money, and when fifteen hundred dollars shall have
beep received for stock, the organization of said company
shall be deemed perfected; and thereupon, the persons named
in the first section are hereby constituted directors thereof
till other directors shall be elected; and in case of the decease
Of one or more of said persons, or of their refusal to act as
directors, the remaining persons shall have power to elect
other directors in their stead for the time being: provided
all directors shall be stockholders.
3. The said company shall have power to establish, main-
tain, and operate a steam ferry across the Potomac river
from the city of Alexandria to some point in the state of
Maryland or District of Columbia opposite the said city, for
the transportion and ferriage of persons, vehicles, cattle, and
merchandise, and to charge tolls therefor, and to purchase a
steamboat and outfit, and to lease and own wharves for its
purposes and generally to make all regulations for ferriage.
4. The officers of said company shall be five directors; one
of whom shall be president, and shall likewise perform the
duties of secretary and treasurer, and he may be required to
execute a bond with security for the faithful performance of
his duties; to be elected by the stockholders at their annual
meeting, and a majority of the directors shall constitute a
quorum, and the directurs shall fill all vacancies which may
occur in their body, until the next annual meeting.
5. The office of the company shall be in the city of Alex-
andria, and the annual meeting thereof shall be held on the
first Monday in May, eighteen hundred and eighty-two, and
on the first Monday in May in each succeeding year.
6. The personal liability of any stockholder shall be limi-
ted to the amount due and unpaid upon the share or shares
of stock owned and held by him, the city council of Alexan-
dria and any incorporated body located and doing business
in Alexandria, shall be authorized to subscribe for and hold
stock in the said company.
7. The president shall receive such compensation as may
be agreed upon by the board of directors; and the directors
shall manage the affairs of said company and fix the com-
pensation of the employees.
8. This act shall be in force from its passage.
