CHAP. 131.-—-An ACT to amend and re-enact an act entitled an act to
incorporate the St. John’s Roman Catholic College in the city of
Norfolk, approved July U1, 1870,
Approved April 2, 1879.
1. Be it enacted by the general assembly, That John J..
Keane, Mathew O'Keefe, Thomas Brady, Thomas J. Murray
and John Doherty, and others, their associates and successors,
be and they are hereby constituted, as trustees, a body politic
and corporate, by the name and style of The Saint John's
Roman Catholic Academy and Male’ Orphan Asylum, for the
purpose of maintaining in the city of Norfolk an institution of;
learning, and for the care and maintenance of male orphans;
that they shall have perpetual succession and a common seal,
which they may alter or renew at their pleasure, and may sue
and be sued, plead and be impleaded; with power to purchase,
receive and hold to them and their snecessors forever, any
estate, real or personal, which may be purchased by or devised
or given to them for the use of the said acacemy and orphan
asylum, and to lease, sell, rent or otherwise dispose of the same
in such manner as shall seem most conducive to the advantage
of the said academy and orphan asylum: provided that not
less than a majority of the trustees, for the time being, shall be
sufficient to authorize the sale of any real estate belonging to
the said academy and orphan asylum: provided that said
academy and orphan asylum shall not take or hold, at any one
time, more than ten acres of land in the said city of Norfolk,
nor more than two hundred acres out of said city.
2. The said trustees and their successors shall have power
to elect and employ a treasurer and such other officers and
agents as they may deem proper to elect, and employ such
president, professors, instructors, teachers and managers as
they may deem necessary to promote the welfare and prosperity
of the said academy and orphan asylum; to make, ordain,
establish and execute, from time to time, such by-laws, rules
and regulations not inconsistent with the constitution and laws
of this state, as they may deem necessary for the good govern-
ment of the said academy and orphan asylum, and generally
to do all acts necessary and proper for the interests and advan-
tage of the said academy and orphan asylum. Three of the
trustees shall constitute a board for the transaction of business,
and also fill any vacancy which may occur in their body by
death, resignation, removal or other disability. They shall also
have power, from time to time, to ordain, regulate and establish
the mode and course of instruction and education, and the
manner of caring for, receiving and maintaining the orphans
in said academy and orphan asylum.
8. The president, professors, teachers and managers in said
academy and orphan asylum, shall be styled the faculty and
managers of said academy and orphan asylum, and are hereby
empowered to enforce such rules and regulations as may be
deemed expedient and adapted for the good government of the
academy and orphan asylum which may not be inconsistent
with the laws of this state.
4. The treasurer shall be elected for such term of office as
the trustees may prescribe. He shall receive all moneys accru-
ing to the said academy and orphan asylum, and property de-
livered to bis care; and shall pay or deliver the same to the
order of the board of trustees. Before entering upon the dis-
charge of his duties, he shall give bond with such security and
in such penalty as the board may direct, made payable to said
corporation, and conditioned for the faithful performance of the
duties of his office under such rules and regulations as the
board of trustees may adopt; and it shall be lawful for the
said corporation to obtain a jadgment for the amount thereof,
or any special delinquency incurred by said treasurer, on motion
or by suit in any court of record in this commonwealth having
jurisdiction, against the said treasurer and his securities, his
or their personal representatives,
5. This act shall be in force from its passage.
