Chap. 162.—An ACT to authorize the Pulaski and Giles Turnpike
Company to change the grade of their road.
Approved February 27, 1879.
1. Be it enacted by the general assembly, That the Pulaski
and Giles turnpike company, in the reconstruction, repair and
maintenance of its turnpike road from, at, or near the town of
Newbern, in Pulaski county, ‘to Giles eourthouse, are hereby
authorized to alter and change the grade of said road: provided
the same shall in no case exceed five degrees.
2. Allacts and parts of acts inconsistent with this act, are
hereby repealed.
5. This act shall be in force from its passage.

1. Le % enacted by the general assembly of Virginia, Tuat
W.L. Rowers, Andrew 4. Mart in, bdward G. Rovers, N. VY,
Nicholas, Israel Townsend, and their associates and successors,
are hereby created and constituted a body politic and corporate,
by ithe name and style of Tho Novlolk Mannfacturing Com-
pany, for the purpose of VAHL and manufacturing leather,
and by that name and style shall have perpetual succession ;
may sue and be sued, eontract and be contracted with, plead
and be Lnpleaded, have a common seal and chan se the same at
pleasare, and si all have all the rights and privuleves of 2 corpo-
ration, aud be subjeut to all the rules, reguiatious and restric-
tions imposed by the Code of Virginia, in rciation to joint stock
coinpanies, so fur as they are applicable to and not inconsistent
with the provisions of this act.
2. The capital stock of said company shall not be fess than
three thousand dollars, with the pr ivilese {9 increase the same
trom time to time, by a vote of the stoehhol fers, a5 annual or
special mectires, to a sum not exueceding iifty thousand dol-
lars.
3. Phe said 4 GOMPSUY shall have power to construet snitanie
works for manufacturing, and shall have power to acquire and
hold for the purpose aforesaid, real estate not exceeding ten
acres,
4, Any incorporated body, located or doing business in the
county of Nortolk, shall be authorized to subseribe for and hold
stock in thus compauy.
3. The said company shall have power to make, from time to
time, such by-laws and regulations as it may deem necessary
and proper for the managemeut of the affairs; may fix thre
number of its directors and other officers, and prescribe the
manner of their election or appointment, their several terms of
service, and their powers, duties, and compensation. In all
general or special meetings of the company, the stockholders
present, i person or by proxy, shall be entitled to a vote on
each share of their stock—a majority of the stock being re.
quired to constitute a legal meeting.
6. The said company shall have power to borrow money, and
to execute a deed of trust or mortgage upon the property and
franchises to secure the same.
7. ‘The personal liability of any and every stockholder shall
be limited to the amount of stock held by each stockholder,
and the stock can only be transferred by the noting of the same
on the books of the company.
8, This act shall be in force from its passage.
