Chap. 34.—An ACT to incorporate the Virginia general manufacturing
and produce shipping company.
Approved January 29, 1878.
1. Be it enacted by the general assembly, That P. H.
Woolfork, Ross Hamilton, M. T. Johnson, R. W. Johnson,
D. F. Batts, W. F. Johnson, P. H. A. Braxton, R. M. Brooks,
O. M. Steward, R. A. Green, A. P. Ashbourne, W. N. Stevens,
D. Wilkinson, S. T. Hucless, H. Holmes, G. W. Hill, D. M.
Morton, P. J. Carter, W. C. Roane and W. D. Evans, together
with such other persons as may be associated with them, be,
and they are hereby created and made a body politic ‘and
corporate, by the name and style of The Virginia General
Manufacturing and Produce Shipping Company; and as such,
shall be capable in law to purchase property, to conduct a
general manufacturing business, and to buy and sell merchan-
dise, and to conduct a general produce shipping business.
2. That the name of this corporation shall be the Virginia
general manufacturing and produce shipping company.
3. That the said company shall be and remain a body cor-
porate for twenty years, and have its principal office at Rich-
mond, Virginia. |
4. The capital stock of this company shall not be less than
fifty thousand dollars, nor more than one hundred and fifty
thousand dollars, to be divided into sharers ot ten dollars each.
5. There sball be elected a president, vice-president, secre-
tary, treasurer, general superintendent and nine directors. |
-6. The board of directors shall have power to appoint and
remove all other officers and agents than those above named,
who may be necessary to conduct the business of said cor-
poration, to fix their compensation, and to require from all
officers and agents, bonds in such penalty and with such secu-
rity as said beard, or the by-laws of the corporation may pre-
scribe, conditioned for the faithful performance of the duties
of such officers and agents.
7. That this corporation by the name and title aforesaid,
shall be able in Jaw to sue and be sued, plead and be impleaded,
in any court, before any judge or judges, in all. manner of
suits whatever, and all and every matter or thing therein to
do, in as full and effectual a manner as any other person or
persons, bodies politic or corporate within this state may or
ean do; and to make rules, and by-laws, and ordinances, and
do everything needful for the good of the government and
support of said corporation: provided always, that the said
laws, rules and ordinances, or any of them, be not repugnant
to the constitution and laws of the state or the United
States.
8. This act shall-be in force from its passage.
