Chap. 213.—An ACT to amend and re-enact section two of an act en-
titled an act to incorporate the Washington, Cincinnati and Saint
Louis railroad company, approved March 15, 1872.
Approved March 21, 1877.
1. Beit enacted by the general assembly of Virginia, That
the second section of an act entitled an act to incorporate the
Washington, Cincinnati and Saint Louis railroad company,
approved March 15, 1872, be amended and re-enacted so as to
read as follows: ,
§ 2. That the capital stock of said company shalt not ex-
ceed the sum of fifteen millions of dollars, to be divided in
shares of one hundred dollars cach; and when five bundred
shares shall have been subscribed by persons or corporations,
under the direction of any three of the corporators herein-
before named, the subscribers sball assemble in Luray, Vir-
ginia, upon the call of the first five named corporators, or a
majority of the same, to organize the company under this
act, to elect a president and board of directors, whose term
of office shall be three years. Subsequent elections for pres-
ident.and board of directors shall be made by the stockholders
in general meeting, and their term of office shall be for one
year, after the first under thisact. Any vacancy during tbe
term of office of the president or directors, shall be filled for
the unexpired term by the board of directors. There shall
be a general meeting of the stockholders of said company at
least once a year, upon some day to be dosignated by the
president and board of directors, of which meeting notice
shal] be given by publication in some newspaper published ii
the town of Harrisonburg, for at Icast thirty days; and a
general meeting of stockbolders may be held at any time
upon the call of stockholders representing fifty thousand
dollars of paid up capital stock, upon their giving like notice,
by publication of said meeting, at which mecting any busi-
ness may be transacted that should appertain to any other
regular meeting of stockbolders.
2. This act shall be in force from its passage.
