Chap. 205.—An ACT to incorporate the Wytheville mining, manufac-
turing and hotel company.
Approved March 21, 1877.
1. Be it enacted by the general assembly of Virginia, That
Thomas J. Boyd, together with William Y. C. Whyte and
J. M. French, and such other persons as may hereafter be
associated with them, sball be, and are hereby incorporated
and made a body politic and corporate, by the name and
style of The Wytheville Mining, Manufacturing and Hotel
Company, for the purposes generally of mining, smelting,
manufacturing, and hotel-keeping, on any of the lands of said
Boyd; in the county of Wythe, in the state of Virginia, and
on any other lands not exceeding twenty-five thousand acres
that may hereafter be owned by said company within said
county of Wythe, or adjacent counties, and with the right
and power of laying out and constructing and equipping any
railroad or other road from any of the lands and works of
said company to the Atlantic, Mississippi and Ohio railroad,
at any point thereof within the limits of Wythe county: pro-
vided apy such railroad shall not connect with any other
railroad than the said Atlantic, Mississippi and Ohio railroad:
and the said company are hereby invested with all the rights,
powers, and privileges conferred, and made subject to all the
requirements, regulations, and restrictions imposed by the
provisions contained in the Code of Virginia of the year one
thousand eight hundred and seventy-three, so far as applica-
ble to the business and purposes of the said company, and
not in conflict with the provisions of this act.
2. The capital stock of said company shall not be less than
twenty thousand dollars nor more than one million of dol-
Jars, to be divided into shares of twenty-five dollars each;
and each owner of any of the stock of said company shall,
in all general mectings of the stockholders thereof, be entitled
to cast one vote for each share of stock owned by him or her,
in any election or other question or matter before any such
meeting. And for receiving subscriptions to the stock of
said company, said Thomas J. Boyd and others appointed
by bim, prior to the organization of said company, shall be
authorized to exercise and perform all the powers and duties
conferred and imposed by said Code on commissioners gen-
erally; to receive subscriptions to the stock of such compa-
nies, and at any place or places in or out of the state of Vir-
ginia, that he or they may select.
3. Said company shall have the right to purchase and hold
any lands, including the lands of said Boyd, and miay be
organized at any time within two years after the passage of
this act. .
4. This act shall be in force from its passage.
