CHAP. 233. —An ACT to Incorporate the Farmville Manufactaring
Company.
Approved March 29, 1876.
1. Be it enacted by the general assembly of Virginia, That
Albert Hurd, Egbert Hurd, Albert R. Hurd, Wright Barber,
Radford Cecil Hope, Charles Bugg, William Fenton Pattullo,
Frederick Harper Twelvetrees, J. A. H. St. Andrew, P. W.
McKinney, F. N. Watkins, H. BE. Warren, R. S. Paulette, ,W.
D. Rice, A. R. Venable, Junior, W. W. H. Thackston, SB.
McKinney, J.P. Fitzgerald, W. R. Berkeley, J. W. Womack,
J. H. Motley, H. G. Richardson, O. T. Wicker, T. J. Davis,
N. E. Venable, and G. R. Bickers, and such others as may be
associated with them, and their successers, be and they are
hereby constituted a body politic and corporate, under the
name of The Farmville Manufacturing Company; and as
such may sue and be sued; may have a common seal; and
may buy and hold real estate in the counties of Prince
Edward, Cumberland, and Buckingham.
2. That the capital stock of said company shall not be less
than fifty thousand dollars nor more than one million dollars,
to be divided into shares of one hundred dollars each, pay-
able at such times and in such proportions as a majority of
the stockholders may, in general meeting, determine, or at
such times and in such proportions as the board of directors,
elected by a majority ot such stockholders in general meet-
ing assembled, may determine.
3. The chief office of said company shall be at Farmville,
in the county of Prince Edward. The number, duties, and
emoluments of the officers of said company shall be deter-
mined by a majority of the stockholders in general meeting
assembled.
4. A majority of . said stockholders, in general meeting
assembled, shall have power to pass rules, Tegulations, and
by-laws for the government of the same.
5. The said compuny shall have full power to conduct such
manufacturing business in cotton, woollen, paper, and other
fabrics; in wood, iron, lime, and of agricultural implements,
as the stockholders, or directors elected by the stockholders,
may determine.
6. The said company shall have power to borrow money
for the purposes of its business, to an amount not excceding
two-thirds of its subscribed capital, and on such security as
the directors may determine.
7. It shall be lawful for the board of supervisors of the
county of Prince Edward, and the town council of the town
of Farmville, by the vote ‘of a majority of all the members
elected, to authorize the payment to the treasurer of said
company, annually, of a sum of money equal to the aggre-
gate sum paid by said company for taxes assessed on behalf
of said county and town, respectively, for a period of ten
years: provided, that sucb payment shall not extend to any
levy assessed by said board of supervisors or town council
for free school purposes.
9. This act shall bein force trom its passage.
