Chap. 198.—An ACT to incorporate the Rockbridge Baths Grange Co-
operative Association.
Approved March 27, 1876.
1. Bo it enacted by the general assembly of Virginia, That
William A. Willson, James A. Walker, A. A. McCurdy, Fred-
erick Mohler, A. M. Brown, G. C. Teafore, K. C. McCowan,
John D. Snider and R. Firebaugh, and such other persons as
they shall associate with them, be and they are hereby incor-
porated by the name and style of The Rockbridge Baths
Grange Co-operative Association, and by this name they shall
have perpetual succession and a common seal, may sue and be
sued, plead and be impleaded, and in all respect$ shall be in-
veated with the rights and privileges conferred, and subject
to the restrictions and regulations prescribed for corpora-
tions in the Code of Virginia of eighteen hundred and seven-
ty-three, so far as the same may be applicable to such an
association, and not inconsistent with this act.
2. The object of the said association is to establish and
maintain general trade in merchandise, farm products and
machinery, for the mutual benefit of the shareholders and
customers. *
3. The capital stock of this association shall not be less
than two thousand dollars, nor more than twenty thousand
dollars, in shares of ten dollars each, which shall not be trans-
ferable except to members of this association.
4. The officers’ of said co-operative association shall con-
sist of a board of nine directors (one of whom shall be
chairman), a secretary and treasurer, to be elected by the
stockholders.
5. Hach stockholder present at any meeting, either in per-
son or by proxy, shall be entitled, to one vote on each share
of the stock held by him. :
6. A majority of the stockholders of said company, in gen-
eral meeting assembled, shall have power to pass rules, regu-
lations and by-laws, -for the government of the same, and for
the transaction of the business of said company.
7. This act sball be in force from its passage.
