Chap. 104.—An ACT to incorporate The Milton and Sutherlin
Narrow-Gauge Railroad Company.

1. Be it enacted: by the general assembly, That it shall

and Joel B. Walters, or any five of them, to open books of
subscription to the capital stock of the Milton and Sutherlin
narrow-gauge railroad company, at such times and places as
they may determine upon; and whenever ten thousand dol-
lars shall have been subscribed by persons and corporations,
the subscribers may organize the company, and thenceforth
they and such persons as shall afterwards be associated with
them, shall be a corporation, under ths name of the Milton
and Sutherlin narrow-gauge railroad company (and by the
said name and style of the Milton and Sutherlin narrow-
gauge railrozd company, shail have power to sue and be
sued, plead and be impleaded,) for.the purpose of construct-
ing and operating a narrow-gauge railroad ‘from Sutherlin
Btation, on the Richmond and Danville railroad, to the Vir-
ginia line, at or near Milton, North Carolina, and shall be
subject to all the provisions of the Code of Virginia, applica-
ble to railroad companies, and not inconsistent with the
provisions of this act.
2. The capital stock of said company shall npt be less than
ten thousand, nor more than one hundred and fifty thousand
dollars, to be divided into shares of one hundred dollars each,
and the stockholders shall be entitled to one vote for each
share of stock owned by them in all meetings of the stock-
holders. Subscriptions to the capital stock of said company
may be made by individuals, railroad companies, counties,
cities and towns, in money, credits, labor, material, machi-
nery, or land, and said company may also acquire land by gift.
or purchase, and shall have power to hold and sell the same
for the construction or repair of their road, for depots or
other necessary purposes.
3. The persons herein before named, or any five of them,
whenever ten thousand dollars has been subscribed, may, by
publication for twenty days in some newspaper, call a meet-
ing of the subscribers, who shall, in general meeting, proceed
to organize the company by the election of a president and
six directors, and the president and directors,so elected, shalk
have control of all the operations and business of the compa-
ny, and appoint such officers and agents as. they may deem
necessary for the management of its affairs, subject to such
by-laws as the company may adopt, but no subscriber shalh
vote at the organization of the company who has not paid.

4. Whenever the company and the land-owners cannot.
agree for the use of land along the line of the company’s.
road, commissioners shall be appointed, as provided for by
law, to ascertain the value of thesame. Said commissioners.
so appointed shall, on ascertaining the damages, take into
consideration the advantages and benefits to accrue to such
land-owner’ by the construction of said road through his or
her land. | :
5. The company shall have the right in the construction
of its bridge across Dan river, at or near Milton, North
Carolina, to so construct the same as to turnish passage for
persons, animals, and vehicles, and shall have the right to
collect tolls for the use of the same, but such tolls shall not
exceed the following rates: for persons, six cents each; for
vehicles, six cents for each wheel and for each animal at-
tached thereto; for horses, mules, and cattle, six cents each;
for drove horses, mules, and cattle of not less than six in
number, three cents each; for sheep and hogs, two cents
each. And it shall not be lawful to construct or operate any
other toll-bridge or ferry over said river within one mile of
said bridge when construsted.
6. It shall be lawful for any railroad company contiguous
to said narrow-gauge railroad, to subscribe to and own an
amount of its stock not exceeding one-third part thereof.
7. Said company may borrow such sums of money as it
may deem necessary for the construction and business of its
road, and may execute liens on its property, franchises, and
revenues, to secure payment of the principal and interest of
such loans; and may farm out or lease its road, rights, and
franchises to individuals or corporations.
8. It shall be lawful, with the consent of the state of North
‘Carolina, for the company organized under this charter, to
extend its road into the state of North Carolina at or near
Milton. |
9. This act shall be in force from its passage.
