Chap. 138.—An ACT to Incorporate The Bank of Jacksonville.
Approved April 2, 1874.
1. Be it enacted by the general assembly of Virginia, That
' Peter L. Howard, A. J. Kirby, Matthew Scott, Wm. H. Har-
man, Samuel Dobyns, F. A. Winston, Asa Bishop, F. W. Ed-
wards and Jos. T. Jett, together with such other persons as
may be associated with them, shall be and are hereby consti-
tuted and made a body politic, and incorporated by the name
- and style of The Bank of Jacksonville; and by said name
they shall have the right to sue and shall be liable to be sued;
and the said bank shall be located at Floyd courthouse, and
is hereby invested with all the rights, powers and privileges
and made subject to all the rules, regulations and restrictions
enumerated in chapters fifty-seven and fifty-nine of the Code
of Virginia, of edition of eighteen hundred and seveuty-
three, applicable to savings banks and not inconsistent with.
this act.
2. The capital stock of said bank shall not be less than
five thousand dollars, nor more than one hundred thousand
dollars, and shall be divided into shares of one hundred dol-
of lars each. The first meeting of the incorporation shall be
held upon written notice of the time and place of such meet-
ing, signed by any three of them and served upon all the
others. °
3. The board of directors shall prepare rules and regula-
tions and by-laws for the management of the business of the
institution, which shall be submitted to the vote of the stock-
holders in general meeting assembled.
4. In all general meetings, each stockholder shall cast a
vote for each’share of stock he may hold, and the majority
of stock taken shall be represented by the holder or his proxy
in order to constitute a quorum for the transaction of general
business.
at 5. This act shall be in force from its passage.
