Chap. 242.—An ACT to incorporate The Ladies’ Memorial Association
of Northumberland County.

1. Be it enacted by the general assembly of Virginia, That
Mistress William Blunden, Mrs. A. J. Henderson, Mrs. Wil-
liam A. Hudnall, Mrs. Thomas J. Wheeler, Mrs. A. J. Brent,
Miss Estelle Betts, Miss Sallie H. Gaskins, and such other
persons as they shall associate with them, be and they are
ereby appointed a body corporate, under the name and style
of The Ladies’ Memorial Association of Northumberland
County; and by this name and style shall be invested with
pe succession, and have a common seal; may sue and
e sued, implead and be impleaded, and in all respects shall
be invested with the rights and privileges conferred and sab-
ject to the restrictions and regulations prescribed for cor-
porations in the Code of Virginia, eighteen hundred and
seventy-three, so far as the same may be applicable to such
an association, and not inconsistent with this act.
2. The object and purposes of this corporation is to pur-
chase, hold and beautify the ground upon which the mont-
ment is now erected to the memory of the Confederate dead;
and the board of supervisors of said county is hereby autho-
rized and directed to convey by deed that portion of the
public square at Heathsville, not exceeding eighty feet
<q uare, upon which the said monument is erected, to the said
corporation. ,
3. The officers of said corporation shall consist of a presi-
dent, four vice presidents, a secretary, treasurer, and execu-
tive committee of not more than ten members.
4. Dr. A. J. Henderson, William Dawson, Jacob J. Cox,
T. Edwin Betts, A. J. Brent, William A. Hudnall, Thomas J.
Wheeler, Lucius T. Harding, Edwin Brown, Dr. James S.
Gilliam, shall constitute the executive committee of the said
corporation, with power to fill vacancies which may occur in
their own body by death or otherwise; to appoint a sub-
committee or committees for such purposes as may be neces-
sary; to make rules and regulations for the management of
said corporation, and for the admission of members, and
generally to do every act and thing necessary to carry into
eifect this act; and to promote the objects and design of this
corporation, five members of said committee shall constitute
a quorum for the transaction of any and all business.
3. The office of this corporation shall be at Heathsville,
Northumberland county, Virginia.
6. This act shall be in force from its passage.
