Chap. 320.—An ACT to Incorporate the Valley Mining and Manufactur-
) ing Company.
Approved March 31, 1873.
1. Be it enacted by the general assembly, That John W.
Ashby, William Milnes, Jr., John G. Newman, J. M. Walker, H.
B. Harnesbarger, and such other persons as may be hereafter as-
sociated with them, and their successors, shall be and are hereby
incorporated and made a body politic and corporate, under the
name and style of the Valley Mining and Manufacturing Com-
pany, and by that name may sue and be sued, plead and be
impleaded, in all the courts of law and equity in this state and
elsewhere; may have perpetual succession; may have, make and
use a common seal, and the same break, alter and renew at
their pleasure; may ordain and establish such by-laws, ordi-
nances and regulations as they may think wise, and generally
may do every act and thing necessary to carry into effect this
act or to promote the object or design of the coporation: pro-
vided, that such by-laws, ordinances, regulations or acts be
not inconsistent with the laws of this state or of the United
States.
2. The said company shall have power and authority for the
purpose of mining iron and other ores, transporting and sell-
ing the same, and of working the same into pig iron and steel
or otherwise, and also for the purpose of manufacturing iron or
other ores in all the various branches and uses for which iron
and other ores are used, and to transport and sell the same,
and shall have power and authority to locate and construct one
or more railroads, not to exceed thirty miles in length, in con-
nection with their mining business, for the purpose of facilita-
ting their operations, and connect the same with any railroad
now made or to be hereafter made, with the consent of such
road; and for the purpose of so locating and constructing said
railroad, they shall have power and authority to survey, locate,
fix and determine such route or routes for said railroad as they
may deem expedient, or which may be necessary for the construc-
tion and maintenance thereof. The said company may con-
demn, according to the laws of Virginia, land for their road-
way, depots, stations or other necessary purposes.
3. The said company shall have the right to acquire, hold,
use, possess and enjoy by purchase, gift, demise, trust, lease,
or other legal means, estate, real, personal and mixed, and the
same may sell, alien, grant, lease and convey, so that the lands
held by them in fee or otherwise shall not exceed, at any time,
one hundred thousand acres: provided, that the said company
shall not acquire or hold land exceeding twenty thousand acres.

4, The capital stock of the company shall not be less than
five thousand dollars nor more than one million dollars, into
shares of one hundred dollars each.
5. The ircorporators named in the first section of this act
are hereby appointed and made commissioners (any two of
whom may act,) who may, at such times and places as they may
deem expedient, open books of subscription for stock, money
or such mineral, rights or lands, buildings, fixtures or other
property as they may deem wise, expedient or necessary to ac-
quire for the purposes of the company, and the same shall be-
come part of the stock of the company; and when five thou-
sand dollars shall have been subscribed, put in or acquired as.
aforesaid, the company may organize by electing five or more
directors, one of whom shall be chosen as president.
6. The offices of said company shall be in the county of
Page, in the state of Virginia, and at such other points within
or beyond the limits of this state as its business may require.
7. This act shall be in force from its passage, and shall be
subject to any amendment, alteration or modification at the
pleasure of the general assembly.
