Chap. 111.—An ACT to Authorize the Formation of the Virginia Mining,
Manufacturing and Transportation Company.
In force March 4, 1873.
1. Be it enacted by the general assembly of Virginia, That
William R. Denny, F. W. M. Holliday, Lewis N. Huck and
George W. Ward, of the county of Frederick; Angus W. Mc-
Donald, 8. J. C. Moore and William D. Smith, of the county
of Clarke; Thomas E. Taylor, Charles P. Janney, L. D. Hess,
James M. Kilgour, Samuel D. Leslie and George R. Head, of
the county of Loudoun; Dr. Alvin Payne, Robert Beverly and
William Smith, of the county of Fauquier; B. F. Lewis, Allen
Howison and L. Cole, of the county of Prince William; H. W.
Thomas, R. R. Farr and W. T. Rumsey, of the county of Fair-
fax; and such other persons as may hereafter be associated
with them, their successors and assigns, be and they are hereby
constituted a body corporate and politic, to be known as the
Virginia Mining, Manufacturing and Transportation Com-
pany.
2. The capital stock of said company shall be one hundred
thousand dollars, in shares of one hundred dollars each.
3. Whenever the sum of fifty thousand dollars shall have
been subscribed, and ten per centum thereon paid in, in man:
ner and form as hereinafter provided, the stockholders shall
meet in the town of Winchester, and organize by the election
of a board of directors, to consist of not less than five nor
‘more than nine bona fide stockholders, who shall elect one of
their number president; and, should it be deemed expedient
hereafter, they shall have power and authority, from time to
time, as the wants of the company may require, to increase the
capital stock of the company to such an amount as may be
necessary to carry out the true intent and meaning of this act.
4. The said company shall have full power to erect furnaces,
forges, rolling mills, machine shops and manufactories; and
-may lease or purchase, or exchange its stock or bonds for, ore
beds and banks, timber and agricultural lands, iron ore, marble
and stone quarries, and any and every kind of mineral lands,
upon such terms as the parties interested may agree upon;
may work, mine, &c., the same, and manufacture and transport
to market the proceeds thereof; and shall have all the rights
and privileges granted in an act to incorporate the Shenandoah
Iron, Lumber, Mining and Manufacturing Company, approved
June thirtieth, eighteen hundred and seventy, not otherwise
herein specially provided, and not incorsistent with this act.
5. The said company may receive from any person or per-
sons voluntary donations of lands or personal property, or money
donated in aid of the construction and equipment of any of
its works, and may hold and use the same as part of its capital
stock; and may dispose of such title as it may have acquired
in any real estate by proper deeds of conveyance, executed by
the wnresident and secretary. hy and with the annroval of a
majority of the board of directors; and may also receive So
subscriptions to its capital stock in lands, mines, property, ”
labor, materials and otherwise, from other companies, corpo-
rations or associations, or individuals, either within or without
this state, and make such arrangements as may be agreed upon
between them and the parties interested respectively for the
endorsement, sale and exchange of bonds and stocks as may
facilitate a speedy completion of their works.
6. The said company, for the purpose of carrying out the r
objects hereinbefore set forth, shall have power and authority to *
locate and construct, stock, equip and work (or lease to other cor- ra
porations or companies the right to do the same) any wood or ¢
iron tramway or railroad, of any gauge they may elect, within
and through the town of Winchester, in Frederick county, and
any of the above-named counties, and extend the same through E
the counties of Stafford, Prince Wilam, Alexandria or Fair- ‘
fax, to a point on the Potomac river between the city of Alex- ¥
andria and the mouth of Acquia creek; and to build lateral fa
roads or branches, not more than thirty miles in length, Li
from any point thereon ; and may provide for the transportation 7
of freight and passengers thereon either by horse or steam o!
locomotive power. And any county or town through or in }
which any of said roads may be located may subscribe to the &
capital stock of the company hereby created whenever three- ac
fifths of the votes cast of such county or town shall at an elec-
tion held therefor, or at any general election, vote in favor
thereof: provided, that from and after the passage of this act, =
any county, city or town in this state, which may be the owner ¢
of stock in any improvement or railroad company, may vote
such stock through their proxy or legal representative without
the process of scaling, but shall vote one vote for each and
every share of stock so owned and held by them.
7. That said company may make connections with, or cross c
at grade, any other railroad within said counties; and may §
lease or purchase, lease or sell to, and merge and consolidate N
with, any other public improvement or railroad now existing, ¢
or that may hereafter be constructed, within any of said coun- r
ties, upon such terms as may be agreed upon by the parties
interested, subject to the approval of the stockholders.
8. Whenever any portion of the company’s works or roads s
shall have been completed, they may work, use, equip and run *
the same as though the whole were completed ; and may pro- ¢
vide for the passage of persons, wagons and other travel over §
any bridge they may construct, collecting tolls therefor, as >
provided by law.
9. The said company shall be entitled to all rights, powers 5
and privileges conferred, and subject to all the restrictions and P
regulations imposed, by the Code of Virginia, and acts of the :
general assembly amendatory thereof, and by an act entitled
an act to authorize subscriptions to the stock of incorporated
companies by the counties, cities and towns through, by or
near to which the Shenandoah Valley Railroad Company shall
have been incorporated, to construct a railroad branch,
approved November fifth, eighteen hundred and seventy, so
far as the same are applicable to and not inconsistent with this
act, and not otherwise herein provided.
10. This act shall be in force from its passage.
