Chap. 300.—An ACT to Incorporate the Old Dominion Construction
Company.
In force March 26, 1872.
1. Be it enacted by the general assembly of Virginia, That
W. W. Wood, Wm. A. Hester, Jno. S. Wood, Geo. W. Smith,
Reuben F. Moss and Henry Wood, jr., and such other persons
as they may associate with them, be and they are hereby made
and declared ‘a body politic and corporate, by the name and
style of the Old Dominion Construction Company, and as such
shall have perpetual succession and @ common seal, which it
may alter or amend at pleasure; and may sue and be sued,
plead and be impleaded, contract and be contracted with, and
make ordinances, by-laws and regulations, not inconsistent with
this act or other laws of this state or of the United States, for
the government of its officers and agents and the proper con-
duct of its business.
2. The capital stock of the company shall be not less than
($100,000) one hundred thousand dollars, which may be
increased from time to time, or at any time, by the share-
holders, at any regular meeting, or meeting called for that pur-
pose, by a vote of the owners of a majority of shares, to any
sum not exceeding one million dollars, to be divided into shares
of one hundred dollars each, to be subscribed for or otherwise
acquired under the direction of the persons herein named, or
such agents as the company hereby incorporated may hereafter
appoint, and at such place or places, and upon such public or
other notice as, they may presenibe.
3. The right to the franchise hereby granted shall vest, as
soon as twenty-five thousand dollars of the capital stock is sub-
scribed and ten dollars per share is paid to the corporators
herein named, or to such person as they may appoint; and as
soon as this condition is complied with, the corporators herein
named may calla meeting of the shareholders in such manner
and at such time and place as they may think best, to organize
the company for the transaction of business and the election of
a president and directors.
4. In all meetings of the company each share of stock shall
entitle the owner thereof, or his proxy, to one vote thereon.
Every stockholder not in debt to the company, may at pleasure,
in person or by power of attorney, assign his stock and trans.
fer the same on the books of the company or any part thereof
not being less than a whole share. But no stockholder indebted
to said company shall be permitted to make such transfer, or
receive a dividend until such debt or liability is paid or secured
to the satisfaction of the board of directors.
5. The personal hability of any and every shareholder shal
be limited to the amount due and unpaid upon the shares o:
stock owned and held by such shareholder.
6. The said company shall have power to contract with any
railroad, canal, manufacturing or other company, for the con.
struction of their respective works and improvements; and
with towns, cities, counties or individuals, to build or construct
any authorized and lawful works and improvements, for such
constructing parties, and to receive in payment therefor, and
hold or dispose of whatever moneys, securities, stocks, bonds
or other property, real or personal, said company may contract
for in as full and amplea manner as a natural person might
lawfully do. It may receive property, real and personal, in pay-
ment for its stock, and may dispose of the same as it may do
with any property acquired, otherwise, in the conduct of its
business. It may buy and sell lands and other real estate,
stocks, bonds, securities or any other property on its own
account or on commission.
7. The principal office of said company shall be in Danville,
with as many other oflices as its business may require.
8. The company shall be subject to all general laws now
existing or hereafter enacted regulating similar corporations as
far as the same are applicable.
9. This act shall be in force from its passage.
